Mumbai, September 3, 2025: Austere Systems Limited, a Pune-based IT solutions and digital transformation firm, has launched its ₹15 crore SME IPO, which is expected to be listed on the BSE SME platform. The issue opens from September 3 to September 8, 2025, at a price band of ₹52–₹55 per share with a market lot of 2,000 shares. The stock will list on September 11, 2025.

Established in 2015 and based in Pune, Austere Systems offers IT solutions in software development, ERP and MIS systems, SaaS platforms, AI, process automation, data analytics, and IT-enabled services. Apart from that, Austere Systems offers staff augmentation and business process outsourcing solutions as well, with customers located all over the US, UK, EU, and APAC regions. The company plans to utilise ₹11.60 crore of IPO proceeds for funding working capital requirements, with the balance directed towards general corporate purposes.

IPO Issue Size of ₹15 Crore with Lot Value of ₹1.10 Lakh at Upper Band

Austere Systems IPO consists of 28,30,000 equity shares aggregating to approximately ₹15 crore. The price band has been set at ₹52-₹55 per share with a face value of ₹10. A minimum lot of 2,000 shares can be bid for, which at the top of the price band translates into an outlay of ₹1,10,000.

The issue will open on September 3, 2025, and close on September 8, 2025. The basis of allotment will be determined on September 9, with refunds being made the same day. Equity shares will be credited to demat accounts on September 10, and listing of the stock is due on the exchanges on September 11, 2025.

Anchor Investors Infuse ₹4.40 Crore with Rajasthan Global Securities, Leading at 31.75%

On September 2, 2025, the firm raised ₹4.40 crore by issuing 8,00,000 shares at ₹55 apiece to a list of anchor investors. The allotment had equal contribution by AARTH AIF Growth Fund, Beacon Stone Capital VCC – Beacon Stone Capital, and Finavenue Growth Fund, each taking 1,82,000 shares or 22.75% of the anchor portion. The highest allotment was to Rajasthan Global Securities Pvt. Ltd., which acquired 2,54,000 shares, representing 31.75% of the anchor book.

Asse͏͏ts͏ e͏xpa͏nd͏ed ͏to ₹1͏͏͏8.63 c͏rore͏ i͏n ͏FY25 from ₹1͏2.͏2͏3 cr͏or͏e in FY24,͏ ͏whil͏e EBIT͏DA c͏ame in͏ at ₹6͏.͏05 ͏cr͏or͏e versus ₹͏6.͏28 ͏cro͏r͏e in FY2͏4. The compa͏ny has rep͏orted negative ͏operatin͏g͏ cash ͏flows in th͏e past, r͏ai͏sing l͏͏iquid͏ity ͏c͏oncerns. It fa͏c͏es ei͏ght p͏en͏ding tax l͏it͏͏igations͏ ͏t͏ot͏alling ₹76,147͏. As of March 31, ͏2025,͏ re͏cei͏vables of ͏₹͏1,5͏2,753 ͏wer͏e o͏v͏erdu͏e fo͏r ͏͏more ͏tha͏n six͏͏ months͏.
