What is FII and DII?
FII stands for Foreign Institutional Investors, which are entities established outside India that invest in Indian financial markets (equity shares, debt instruments, derivatives). While the term FII is still widely used colloquially, SEBI merged FIIs, their sub-accounts, and Qualified Foreign Investors (QFIs) into the unified category of FPIs or Foreign Portfolio Investors in 2014 to simplify regulations. These include pension funds, mutual funds, and insurance companies from foreign countries.
DII, or Domestic Institutional Investors, are Indian-based financial institutions that invest in domestic financial markets. Major examples include Indian Asset Management Companies (AMCs) managing mutual funds, Indian insurance companies (like Life Insurance Corporation – LIC), banks (involved in treasury operations or through subsidiaries), domestic pension funds (such as the Employees’ Provident Fund Organisation – EPFO, and National Pension System – NPS trusts), and other Indian financial institutions. DIIs represent the investing power of domestic institutions.
FIIs and DIIs are financially sound and make bulk investments. They are involved in significant stock trading and can impact market trends. For example, if FIIs buy ₹10,000 crores in equities in a day, it can lead to a massive market rally.
What types of FIIs vs DIIs are allowed in India?
India allows various types of FIIs and DIIs to participate in its financial markets. Here is a breakdown:
Types of FIIs allowed in India
SEBI’s FPI Regulations, 2019, classify Foreign Portfolio Investors primarily based on their perceived risk profile:
- Category I FPIs: Considered lowest risk. Includes government and government-related entities like central banks, sovereign wealth funds, and multilateral organisations.
- Category II FPIs: This category includes regulated entities such as mutual funds, investment trusts, insurance/reinsurance companies, banks, asset management companies, portfolio managers, pension funds, and university/endowment funds (subject to being appropriately regulated in their home jurisdiction). It also covers most entities traditionally thought of as FIIs.
- Category III FPIs: This category includes entities not fitting into the above categories, such as endowments, charitable organisations, foundations, corporate bodies, family offices, and eligible individuals (subject to specific conditions).

- Mutual Funds: Managed by SEBI-registered AMCs.
- Insurance Companies: Regulated by IRDAI (e.g., LIC, ICICI Prudential Life, HDFC Life).
- Banks: Regulated by RBI, investing through treasury operations or subsidiaries.
