Gaudium IVF IPO Opening Today for Subscription February 20 to Raise ₹165 Crore

Gaudium IVF & Women Health Ltd will open its ₹165 crore book-built initial public offering (IPO) for subscription on February 20, 2026, with the issue closing on February 24, 2026. The offering combines a fresh issue of 1,13,92,500 shares aggregating to ₹90 crore and an offer for sale (OFS) of 94,93,700 shares aggregating to ₹75 crore, according to the company’s red herring prospectus (RHP). The price band has been fixed at ₹75 to ₹79 per share.
The IPO is scheduled to list on the BSE and NSE on a tentative basis on February 27, 2026, following allotment expected on February 25, 2026.
Issue Structure and Offer Details
The total issue size comprises 2,08,86,200 equity shares of face value ₹5 each. At the upper end of the price band, the public issue aggregates to ₹165 crore.
The fresh issue component is aimed at raising ₹90 crore, while the ₹75 crore OFS allows certain existing shareholders to divest part of their holdings. Post-issue, the company’s shareholding will increase from 6,13,94,384 shares to 7,27,86,884 shares.
The IPO is being managed by Sarthi Capital Advisors Pvt. Ltd. as the book running lead manager, while Bigshare Services Pvt. Ltd. is acting as registrar to the issue.
Price Band, Lot Size and Investment Threshold
Gaudium IVF has set the price band at ₹75 to ₹79 per share. Investors can bid for a minimum of 189 shares and in multiples thereof.
At the upper price band of ₹79 per share:
- Retail investors require a minimum investment of ₹14,931 for one lot (189 shares).
- The minimum application for S-HNI investors is 14 lots (2,646 shares), amounting to ₹2,09,034.
- The minimum application for B-HNI investors is 67 lots (12,663 shares), amounting to ₹10,00,377.
Under SEBI regulations, not more than 50% of the net issue is reserved for Qualified Institutional Buyers (QIBs), not less than 35% for retail investors, and not less than 15% for Non-Institutional Investors (NIIs).
Business Overview and Operational Footprint
Incorporated in March 2015, Gaudium IVF & Women Health Ltd provides In Vitro Fertilisation (IVF) and assisted reproductive technology (ART) services across India through a hub-and-spoke model.
The company operates more than 30 locations, including seven hub centres and twenty-eight spokes. It also has a strategic association with infertility specialists to expand outreach and awareness of ART procedures. The company serves patients from multiple countries, including Canada, the United Kingdom, the United States, Kenya, South Africa, and Oman.
Financial Performance (Restated Consolidated)
For the period ended September 30, 2025, the company reported total income of ₹49.75 crore and profit after tax (PAT) of ₹12.51 crore.
For FY2025 (year ended March 31, 2025), total income stood at ₹70.96 crore, compared with ₹48.15 crore in FY2024 and ₹44.26 crore in FY2023. PAT for FY2025 was ₹19.13 crore, up from ₹10.32 crore in FY2024, while FY2023 PAT was ₹13.53 crore.
As of September 30, 2025, total assets were ₹106.62 crore and net worth stood at ₹58.85 crore. Total borrowings were reported at ₹22.51 crore.
IPO Timeline
The IPO is scheduled to open for subscription on February 20, 2026 and close on February 24, 2026. The basis of allotment is expected to be finalised on February 25, 2026, followed by initiation of refunds and credit of shares ahead of listing.
