HDB Financial Services, a subsidiary of HDFC Bank, has officially set the price band for its upcoming ₹12,500 crore initial public offering (IPO) at ₹700 to ₹740 per share. The public issue will open for subscription on June 25 and conclude on June 27, with anchor investors bidding on June 24.

IPO Structure and Size

The IPO comprises a fresh issue worth ₹2,500 crore and an offer-for-sale (OFS) of ₹10,000 crore by HDFC Bank, the promoter. Post-issue, HDB Financial Services will continue to remain a subsidiary of HDFC Bank, which currently holds a 94.36% stake.

Lot Size and Investment Requirement

Retail investors can bid in lots of 20 shares, requiring a minimum investment of ₹14,800 at the upper end of the price band.

Use of Proceeds

Proceeds from the fresh issue will be utilised to strengthen the company’s Tier-I capital base, supporting future capital requirements.

Listing Date and Exchanges

The equity shares are scheduled to be listed on both the National Stock Exchange (NSE) and the BSE on July 2, 2025.

Reservation for Shareholders and Employees

A portion of the IPO is reserved for:

  • Eligible employees of HDB Financial Services
  • Existing shareholders of HDFC Bank

Background and Regulatory Mandate

HDB Financial Services IPO aligns with the Reserve Bank of India’s directive from October 2022, which mandates that non-banking financial companies (NBFCs) classified in the upper layer must list within three years.
