KSH International Files DRHP for ₹7,450 Million IPO

Mumbai, May 24, 2025 – KSH International Ltd, one of India’s leading magnet winding wire manufacturers, has filed its Draft Red Herring Prospectus (DRHP) with SEBI for an initial public offering (IPO aggregating up to ₹7,450 million.
The IPO will comprise a fresh issue of shares worth up to ₹4,200 million and an offer for sale (OFS) of shares totaling ₹3,250 million by four promoter shareholders.
Promoter Selling Stake
The OFS will see partial exits by:
- Kushal Subbayya Hegde : ₹1,528 million
- Pushpa Kushal Hegde : ₹422 million
- Rajesh Kushal Hegde : ₹650 million
- Rohit Kushal Hegde : ₹650 million
The weighted average cost of acquisition for these shares ranges from ₹1.35 to ₹1.51 per equity share.
Use of IPO Proceeds
Proceeds from the fresh issue will be utilized for:
- Repayment or prepayment of borrowings : ₹2,259.77 million
- Capital expenditure on new machinery for its Supa and Chakan facilities : ₹900.63 million
- Installation of a rooftop solar power plant at the Supa facility : ₹104.13 million
- Remaining funds will go toward general corporate purposes.
The company may also consider a Pre-IPO placement of up to ₹840 million, which, if completed, will reduce the size of the fresh issue accordingly.
Company Background
KSH International is the third-largest manufacturer of magnet winding wires in India by production capacity in FY24, according to a report by CARE Analytics. Its product portfolio includes enamelled and paper-insulated copper and aluminium wires, with applications in power, automotive, industrial, and household appliances.
Listing Plans
The equity shares are proposed to be listed on the BSE and NSE, with the designated stock exchange yet to be confirmed. The company has appointed Nuvama Wealth Management and ICICI Securities as the book running lead managers.
Promoters include the Hegde family, several family trusts, and Waterloo Industrial Park VI Pvt. Ltd.
