SEBI Proposes Concise IPO Offer Document to Improve Retail Investor Engagement

Mumbai, November 14: The Securities and Exchange Board of India (SEBI) has proposed a separate and concise summary of IPO offer documents. The summary will have all the key details about the company and the IPO offer, and will help retail investors to better understand the IPO. The move is aimed at allowing retail investors to engage with IPOs more, without having to rely on external information to decide whether to apply or avoid applying to an IPO.
Solving The Problem of Complex IPO Documents
Currently, when companies file their Draft Red Herring Prospectus with SEBI, it is generally 300-500 pages long. Although it has all the required information, locating key information is a time consuming task. Hence, retail investors rarely read the IPO prospectus, and rely on external information about the IPO to decide if the IPO is worth applying.
With SEBI’s proposal, the complex IPO document will be summarised, and all the key information about the IPO will be easily available to retail investors. They will be able to understand the business of the company, its financials, IPO details, etc., without having to read through hundreds of pages. It will save time, reduce confusion, and ensure that retail investors make informed investment decisions without any external influence.
For the proposal, SEBI has invited public comments till December 4.
Review of Pre IPO Lock-in Rules for Pledged Shares
Apart from the summarised IPO offer, SEBI has also proposed to ease the lock-in requirements for existing shareholders. As per SEBI, the current lock-in process is complex, especially when existing shareholders have pledged shares.
SEBI has now proposed a new process, where lock-in requirements will be automatically enforced. As per the new proposal, lock-ins would apply seamlessly irrespective of what happens to the pledged shares.
If adopted, both the proposals will help ease the IPO process and will help retail investors and existing shareholders engage more with public issues in India.
