Tata Capital Limited allotted secured non-convertible debentures worth ₹343 crore on a private placement basis, according to a regulatory disclosure filed under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. 

The issuance forms part of the series “TCL SECURED A FY 2023-24 VIS-M – Reissue No.2”, reflecting a reopening of an existing debt tranche rather than a fresh instrument. The allotment covers 34,300 secured, redeemable, non-convertible debentures, each with a face value of ₹1,00,000. 

Coupon pricing varies marginally across the tranche. The company placed ₹235 crore at a 7.66% XIRR and ₹108 crore at a 7.6596% XIRR, as per the allotment schedule disclosed in the filing. 

Debenture Issue Structure And Key Terms 

The securities carry a maturity date of February 8, 2034, implying an original tenor of 3,653 days from the initial allotment date. As of the current re-issue allotment on March 4, 2026, the residual tenor stands at 2,898 days. 

Interest payments are scheduled annually with coupon dates beginning February 8, 2027, followed by yearly payments through February 8, 2034, when the debentures will be redeemed. 

Redemption will occur via bullet repayment at maturity, meaning the principal will be repaid in full at the end of the tenure rather than amortised during the life of the instrument. 

Security coverage has been structured through a pari-passu charge on the company’s movable assets, specifically receivables and book debts arising from its lending operations and investment portfolio. The filing notes that the security cover will remain equivalent to 1.0x of the aggregate outstanding value of the debentures. 

The issue carries AAA/Stable ratings from CRISIL Ratings Limited and ICRA Limited, indicating the highest degree of safety regarding timely servicing of financial obligations under the agencies’ rating frameworks. 

These debentures are proposed to be listed on the National Stock Exchange of India (NSE). 

Tata Capital Share Price Movement 

Market-tracked pricing data shows Tata Capital quoted at ₹319.25 on March 4, 2026, down ₹9.40 or 2.86% from the previous close of ₹328.65. 

Intraday trading saw the price fluctuate between ₹326.45 and ₹319.05, with the session opening at ₹325.00. 

As of 3:30 pm IST on March 4, 2026, the company’s indicated market capitalisation stood near ₹1.35 lakh crore, according to exchange-aggregated data. 

The debt allotment itself does not typically trigger immediate equity repricing, but such placements are monitored for signals about funding costs and balance-sheet strategy.
