Investors can bid at a minimum of 46 shares per lot, with retail investors eligible to apply up to 13 lots (598 shares), amounting to approximately ₹1,94,948, while small HNI investors can bid from 644 to 3,036 shares, and large HNI investors from 3,082 shares and above, reflecting the tiered bidding structure. Retail individual investors can bid up to ₹2 lakh, small NIIs between ₹2 lakh and ₹10 lakh, and employees have a limit of ₹5 lakh, including certain discounted applications up to ₹2 lakh.
Allocation Structure Emphasises Balanced Investor Participation and Anchor Support
The IPO reserves 49.87% of shares for Qualified Institutional Buyers (QIBs), 14.96% for Non-Institutional Investors (NIIs), and 34.91% for Retail Individual Investors (RIIs). Anchor investors will subscribe 14.23 crore shares, raising ₹4,641.83 crore on 3 October 2025, with 50% of shares locked in for 30 days and the remaining for 90 days, ensuring stability in the initial post-listing period.
Tentative IPO Timeline Confirms Listing by Mid-October 2025
The IPO opens on 6 October 2025 and closes on 8 October 2025, with tentative allotment on 9 October 2025. Refunds and credit of shares to demat accounts are scheduled for 10 October 2025, and the expected listing date is 13 October 2025. The UPI mandate confirmation cutoff is 5 PM on 8 October 2025, which ensures timely processing of retail applications.
Tata Capital Promoter and Post-IPO Shareholding Overview
Tata Sons Private Limited remains the promoter, with pre-IPO holding at 95.6%. Post-IPO, the promoter stake is expected to reduce to 85.5%, reflecting the capital mobilisation strategy through fresh issue and offer for sale. Post-IPO shareholding will rise to 4,24,48,69,037 shares, supporting Tata Capital’s expansion and lending operations.
Financial Snapshot and Operational Scale Highlight Stability Ahead of IPO
Tata Capital reported total income of ₹28,369.87 crore in FY25, a 56% increase from ₹18,198.38 crore in FY24, while profit after tax (PAT) rose 10% to ₹3,655.02 crore. Total assets reached ₹2,48,465.01 crore, supported by net worth of ₹32,587.82 crore and borrowings of ₹2,08,414.93 crore. The IPO aims to leverage these financial strengths to enhance Tier-I capital and lending capacity, without implying investment guidance.
