Mumbai, September 12, 2025: Future Consumer Limited (NSE: FCONSUMER, BSE: 533400) announced today that it has approved two merger schemes among its subsidiaries and an extension to convert loans worth up to ₹138 crore into optionally convertible debentures (OCDs). The decision was approved at the company’s board meeting held today.

Future Consumer Limited is an Indian company that operates in the fast-moving consumer goods (FMCG) and food processing sectors. The company was established on 10th July 1996 and is part of the Future Group. Its headquarters are in Mumbai, Maharashtra, India.

Nilgiris Consolidation and Food Park Integration Key Approvals

The company announced the consolidation of Bloom Foods and Beverages, Nilgiris Franchise, and Nilgiri’s Mechanised Bakery. They will merge into The Nilgiri Dairy Farm Private Limited (NDF). The main aim of the restructuring is to simplify operations and consolidate the Nilgiris platform.

On the other hand, Appu Nutritions, Snackvibe Products, and Sublime Foods will merge into Integrated Food Park Limited (IFPL). The main aim is to align warehousing and manufacturing under a single entity.

The restructuring is expected to be completed by March 31, 2026, with the securities issued at fair value and not below face value.

Both mergers involve wholly owned subsidiaries. For each transferor entity, 100 shares of the transferee will be issued to Future Consumer. Post-merger, the parent company will continue to hold 100% in the restructured entities, and there will be no change to Future Consumer’s shareholding pattern.
