Mumbai, 18 October 2026: An initial public offering (IPO) prospectus is more than a document containing an issue price and subscription dates. It outlines a company’s financial performance, liabilities, business risks, dealings with related parties and plans for the money raised. Knowing where to look and how to interpret the disclosures can help you assess an IPO beyond its headline valuation.
Jio Platforms Limited’s upcoming IPO provides a useful case study. Its Red Herring Prospectus (RHP), filed with the Securities and Exchange Board of India (SEBI), contains financial statements, risk factors and details of how the company intends to use the issue proceeds. Here is how to approach these sections.
1. Start With The Company and The Issue
Before examining the numbers, establish what the company does, how its business is organised and what investors are being offered. The prospectus’s summary, business overview and issue details can help you understand its operations, subsidiaries, promoters, shareholding structure and the terms of the IPO.
For Jio Platforms, the distinction between the parent company and its operating subsidiary is important. Incorporated on 15 November 2019, Jio Platforms is a technology company whose operations span connectivity, digital services, enterprise solutions, cloud services, the Internet of Things and artificial intelligence. Its subsidiary, Reliance Jio Infocomm Limited (RJIL), provides telecom services and had 533.3 million customers as of 30 June 2026.
The IPO is a fresh issue of 27 crore shares, aggregating up to ₹30,213 crore. The price band is ₹1,065–₹1,119 per share, and the lot size is 12 shares, putting the minimum retail application at ₹13,428 at the upper end of the band. The issue is scheduled to open on 21 October and close on 23 October 2026, with tentative listing on 28 October on the NSE and BSE.
A fresh issue means the company issues new shares and receives the proceeds, unlike an offer for sale in which existing shareholders sell their shares. That distinction helps you understand who receives the money raised.
2. Read Revenue and Profit Together
A company’s financial statements help you assess its growth, profitability and financial position. Look for the restated consolidated financial information, which brings the company and its subsidiaries together. Compare multiple financial years rather than relying on a single period.
Pay attention to the difference between revenue from operations and total income. Revenue from operations reflects income from the company’s principal business activities, while total income may also include other income. Profit after tax (PAT) shows the profit remaining after tax, while EBITDA earnings before interest, tax, depreciation and amortisation offers a view of operating performance before those items.
In Jio Platforms’ RHP, revenue from operations increased from ₹1,28,218.4 crore in FY25 to ₹1,46,885.3 crore in FY26. EBITDA rose from ₹64,170 crore to ₹76,255.4 crore, while PAT increased from ₹26,109 crore to ₹30,049.1 crore over the same period. These figures suggest that both operating revenue and profit grew, but they do not by themselves establish whether the issue is attractively priced.
You should also examine the latest quarterly results, margins and cash flows. A company can report rising profits while facing pressure on cash generation or spending heavily on infrastructure. Compare growth in revenue and profit with capital expenditure, working-capital requirements and cash flow from operations. Always use the same reporting periods and accounting basis when making comparisons.
3. Examine Borrowings and Cash Flow
Debt disclosures help you understand the company’s repayment obligations and how much financial flexibility it has. Check current and non-current borrowings, finance costs, repayment schedules, cash balances and cash flow statements. Gross borrowings alone do not show how much debt remains after available cash and investments are considered.
For Jio Platforms, total borrowings stood at ₹61,372.2 crore on 30 June 2026, compared with ₹70,781 crore on 31 March 2026. The RHP also reports net debt of ₹9,539.1 crore and net leverage of 0.46 times as of 30 June 2026. Net leverage compares net debt with EBITDA, helping show the relationship between debt and operating earnings.
However, note which entity owes the money. Jio Platforms proposes to use ₹27,500 crore of the IPO’s net proceeds to repay or prepay certain outstanding borrowings of RJIL, its material subsidiary. This is not the same as saying that all the proceeds will be used to repay debt at the parent company. The prospectus’s use-of-proceeds disclosures explain the proposed allocation.

4. Look Beyond the Headline Risk Factors
The risk factors section sets out circumstances that could adversely affect a company’s business, financial position or results. Read the specific risks, not just the opening summary. Consider their potential impact, how exposed the company is and whether the risk could affect revenue, costs, cash flow or its ability to operate.
Jio Platforms’ prospectus highlights risks including the renewal of telecom licences and spectrum, network disruption, technological change, intellectual-property concerns and reliance on arrangements with related parties. For a business dependent on extensive connectivity infrastructure, interruptions to network availability or delays in adapting to new technology could affect service quality and customer retention.
The prospectus also discusses the shared use of the Jio trademark within the Reliance Group. This illustrates why you should examine risks that arise from a company’s relationship with its promoter and group entities, rather than focusing exclusively on competition or market conditions.
Risk disclosures identify possible adverse outcomes; they do not mean those outcomes will necessarily occur. Read them alongside the company’s business model, financial position and other disclosures.
5. Check Related-Party Transactions Carefully
Related-party disclosures identify transactions between the company and entities or individuals connected to it, including its promoter group, directors and subsidiaries. These transactions may be part of ordinary business, but you should examine their size, purpose, terms and importance to ongoing operations.
Jio Platforms says it enters into related-party arrangements with Reliance Group entities for services that include access to data centres, network infrastructure, human resources and channel distribution. Its RHP reports related-party capital expenditure and investment of ₹5,024.8 crore in FY26, compared with ₹5,700.9 crore in FY25 and ₹7,282.5 crore in FY24.
The document also reports ₹6,330.3 crore in related-party revenue from operations and other income in FY26, and ₹13,726.1 crore in related-party expenses, including donations. These figures cover different types of transactions and should not be added together or interpreted as equivalent measures.
Check whether the arrangements are material to the business, whether the prospectus describes their terms and approvals, and what could happen if an important group relationship changed. For Jio Platforms, the disclosed reliance on group companies for distribution and infrastructure makes this a particularly relevant part of the assessment.
6. Understand Exactly Where the IPO Money Goes
The objects of the issue section explain how the company proposes to deploy the net proceeds after issue-related expenses. Separate specified purposes from general corporate purposes, and check whether the amounts are fixed, estimated or subject to a stated cap.
Jio Platforms proposes to use ₹27,500 crore to prepay, in full or in part, certain borrowings of RJIL. The remaining proceeds are intended for general corporate purposes, subject to the limits and conditions disclosed in the RHP. Since the issue is entirely a fresh issue, the proceeds are raised through newly issued shares rather than being paid to selling shareholders.
The debt-repayment allocation gives you a concrete question to investigate: how might the repayment affect the subsidiary’s interest burden and financial position? The prospectus explains the intended use, but the eventual effect depends on implementation and the company’s financial circumstances.
7. Compare Valuation and Shareholding
A company’s growth and profitability need to be considered alongside the price investors are being asked to pay. Examine earnings per share (EPS), price-to-earnings (P/E) ratio, net asset value and the assumptions underlying any peer comparison. Check whether the calculations are based on pre-issue or post-issue shares, as fresh shares can change per-share measures.
Jio Platforms’ IPO details give a market capitalisation of ₹10,30,490.55 crore at the upper price band. Its shareholding disclosures also show the promoter and promoter group’s stake moving from 66.43% before the issue to 64.48% after the issue, with the public share increasing from 33.57% to 35.52%. These figures help you understand the scale of the valuation and how ownership changes after the fresh issue; they do not, on their own, determine whether the valuation is justified.
IPO Research Checklist
Before making up your mind about an IPO, check the following:
- Confirm the company’s business model, subsidiaries and promoter background.
- Compare revenue from operations, EBITDA, PAT and margins across several periods.
- Review borrowings, finance costs, cash flows and repayment obligations.
- Identify the main operational, regulatory, technological and governance risks.
- Examine material related-party transactions and dependence on group companies.
- Check the proposed use of proceeds and any limits on general corporate purposes.
- Review EPS, P/E, market capitalisation, post-issue shareholding and peer comparisons.
- Verify key figures and issue terms against the latest official RHP rather than relying solely on summary pages.
An IPO prospectus is most useful when its disclosures are read together. Revenue growth needs to be assessed alongside margins and cash flow; debt figures need context; related-party transactions need scrutiny; and the use of proceeds should be compared with the company’s stated financial needs. For Jio Platforms, the official RHP is the primary document to consult before drawing conclusions from summary figures or valuation metrics.
