Mumbai, 21 August 2025: Sakhiya Skin Clinic, a small and medium enterprise (SME) which specialises in dermatology, has submitted its Draft Red Herring Prospectus (DRHP) with the Bombay Stock Exchange (BSE) for SME IPO. The company seeks to raise up to ₹61.72 crores through a mix of fresh issue and offer for sale (OFS).

New Issue of ₹50.10 Crores to Fund Growth of Clinics Pan-India

The IPO comprises a fresh issue of 50,10,000 equity shares, with the proceeds of the IPO to be used to expand Sakhiya Skin’s business pan-India. Around ₹4,257.73 lakhs will be invested in opening new clinics all over India, enhancing its footprint outside Gujarat and Maharashtra. The growth is anticipated to improve patient reach and operational capabilities.

Offer for Sale by Promoters of 11.62 Lakh Shares to Release Value

The OFS portion includes 11,62,000 shares, with promoter Jagdishkumar Jadavbhai Sakhiya to sell a maximum of 8,82,653 shares and co-promoter Rupalben Jagdishbhai Sakhiya to sell 2,79,347 shares. This move enables promoters to partly monetise their stakes as well as allow entry of new investors into the equity of the company.

Technology Upgrades, Investment in Subsidiaries, and Repayment of Debt

Apart from clinic expansion, the firm will spend ₹88.50 lakhs in technology and facility improvement to upgrade service quality. Besides, ₹964.60 lakhs will be invested in its subsidiary, Dr. Sakhiya’s Advanced Skin Science LLP, and ₹320.00 lakhs will be utilised for repayment of outstanding borrowings. The remaining amount will be utilised for general corporate purposes. GYR Capital Advisors Private Limited will be the sole book-running lead manager for the IPO.

Strong Financials Reflect Revenue Growth and Profit Margins

Sakhiya Skin Clinic during FY2025 earned revenue of ₹5,287.78 lakhs, clocking a profit of ₹1,091.69 lakhs, representing a healthy margin of 20.6%. The clinic treated about 1,48,192 patients during the year, of which 30,991 were new patients, demonstrating consistent growth. Its network of 35 clinics spread over 24 cities had almost 1,00,000 patient visits in its dermato-cosmetic segment alone, reflecting the strong demand for its dermatology services.
