Mumbai, May 20, 2025 – Aegis Logistics Limited (NSE: AEGISLOG, BSE: 500003) has announced a significant development regarding its key subsidiary, Aegis Vopak Terminals Limited (AVTL). On May 20, 2025, AVTL officially submitted its Red Herring Prospectus (RHP) to the Registrar of Companies in Gujarat, Ahmedabad.
IPO Overview
AVTL is planning to raise up to ₹2,800 crore through an initial public offering (IPO). The offer will comprise a fresh issue of equity shares, each with a face value of ₹10. The IPO launch remains subject to necessary regulatory approvals and prevailing market conditions.
Potential Change in Corporate Structure
In an official communication to stock exchanges, Aegis Logistics stated that following the IPO—and in accordance with prior shareholder approval—AVTL may no longer be classified as its subsidiary. This shift is expected to occur if Aegis Logistics’ ownership in AVTL falls below the 50% threshold, resulting in the loss of its controlling interest in the terminal company.
Strategic Intent
This move reflects Aegis Logistics’ broader strategy to unlock the value embedded in its storage and distribution infrastructure. By allowing AVTL to access capital markets independently, the company aims to fuel AVTL’s future expansion while realigning its own business priorities and capital structure. The potential deconsolidation is part of a long-term vision to enhance operational focus and shareholder value.
Management Commentary
The disclosure was made in a regulatory filing signed by Mr. Raj K. Chandaria, Chairman and Managing Director of Aegis Logistics. The filing, addressed to both the NSE and BSE, was submitted in line with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The IPO filing represents a significant step for Aegis Logistics, as it repositions its business and paves the way for AVTL to pursue its growth trajectory as a standalone entity in the public domain.
