IIFL Finance Allots ₹1,300 Crore NCDs; Shares Rise 0.96%

Mumbai September 21: IIFL Finance Limited has allotted 13,000 secured, listed, rated and redeemable non-convertible debentures worth ₹1,300 crore through a private placement, according to its exchange filing dated September 21, 2026.
The Finance Committee of the Board approved the allotment of Series D37 NCDs, each carrying a face value of ₹1 lakh and a coupon rate of 9.25% per annum.
IIFL Finance Allots 13,000 NCDs Through Private Placement
As per the regulatory filing, the company has allotted 13,000 Series D37 NCDs aggregating to ₹1,300 crore. The securities are secured, listed, rated and redeemable and are proposed to be listed on the National Stock Exchange of India.
The NCDs have a tenure of two years from the deemed date of allotment. The allotment date is September 21, 2026, while the maturity date is September 1, 2028.
Interest on the debentures is payable annually, with coupon payments scheduled for September 2, 2027 and September 1, 2028. The principal is also scheduled for repayment on September 1, 2028.
Stock Market Snapshot
The IIFL Finance share price stood at ₹605.95, up ₹5.75 or 0.96%, as of 12:41 PM IST on September 21, 2026, according to the market data shown.
The stock traded around ₹600 at the start of the session before moving higher. It crossed ₹605 during late morning trade and touched levels above ₹608 before settling near ₹606 at the latest available timestamp.
The shares were therefore trading higher while the company disclosed the NCD allotment.
NCDs Carry 9.25% Annual Coupon
The Series D37 debentures carry a fixed coupon of 9.25% per annum. The securities are being issued on a private placement basis to investors.
According to the filing, the NCDs are secured by a first-ranking pari passu charge over specified current, standard and performing book debts, loans and advances and receivables of the company, subject to the terms disclosed in the debenture documents.
The company has stated that a minimum security cover of 1.00 times the outstanding principal amount of the NCDs, along with interest due and payable, will be maintained until maturity.
IIFL Finance Sets September 2028 Maturity
The NCDs are scheduled to mature on September 1, 2028, with ₹1 lakh payable per debenture at maturity.
The filing also provides for additional interest in the event of certain defaults. In such circumstances, the company would pay an additional 2% per annum over the applicable coupon rate, subject to the terms specified in the disclosure.
The company has not disclosed any special rights or privileges attached to the securities.
IIFL Finance Continues Debt Market Fundraising
The latest allotment adds ₹1,300 crore to IIFL Finance’s funding through listed debt securities.
The company operates in financial services, with its lending activities forming a significant part of its business. The proceeds from such debt issuances form part of the company’s broader funding framework and are subject to the terms of the respective issue documents.
The latest Series D37 issue is a two-year instrument carrying a 9.25% coupon and secured against eligible receivables as specified in the filing.
