Bengaluru, October 24 – Infosys Limited recently announced a share buyback program. Under the program, the company is offering to repurchase its shares worth ₹18,000 crore, making it the company’s biggest-ever share buyback program. The repurchasing of the shares under the program will be executed through the tender offer route, which will allow eligible shareholders to tender their shares at a fixed price of ₹1,800 apiece.

Buyback Scale and Price

The company is preparing to buy back up to 10 crore equity shares under the program. This represents about 2.41% of the company’s paid-up share capital. As the buyback is set to take place under the tender offer route, with the share price set at ₹1,800 apiece, the total outlay of the program will amount to ₹ 18,000 crore, marking the largest buyback in Infosys’ history. The Infosys Share Buyback 2025 will surpass its previous ₹9,300 crore repurchase conducted in 2022.

Eligibility, Tender Route and Record Date

The buyback is open to all shareholders; however, 15% of the offer is reserved for small investors. It will be conducted on both the NSE and BSE platforms. Shareholders can tender their shares during the buyback window through their brokers using the tender offer route. However, the company has yet to announce the record date for the same.

Other Key Details

The company has clarified that the buyback will be funded entirely from its internal reserves, and it will not make any borrowings for the same. The initiative is in alignment with its long-term capital allocation policy of returning 85% of free cash flows to shareholders through a mix of dividends and buybacks over five years.

The promoters of the company, including Nandan Nilekani, Narayana Murthy, and Sudha Murthy, have chosen not to participate in this buyback. As of September 30, 2025, promoter and promoter group holdings stood at 14.30%, while public shareholders held 85.46% of the company’s equity.

As of October 24, 2025, shares of Infosys Limited closed at ₹1,523.90, down by 0.30%, or ₹4.60. The shares of the company had a slow trading day, with total traded volume and traded value standing at 86.51 lakh shares and ₹1,319.87 crore, respectively.
