Inspira Global Completes Acquisition Of Restaurant Brands Asia

New Delhi, July 8: Restaurant Brands Asia Ltd (RBA), the operator of Burger King in India and Burger King and Popeyes in Indonesia, has said Inspira Global has completed the acquisition of a controlling stake in the company through its food and beverage platform Lenexis Foodworks.
The transaction, which includes a fresh capital infusion, acquisition of the entire shareholding held by the erstwhile promoters and the completion of the mandatory open offer, marks one of the largest deals in India’s quick-service restaurant (QSR) sector.
Following the completion of the transaction, Inspira Global now holds a 41.78 per cent stake in Restaurant Brands Asia, the company said in a statement.
“With a total investment of ~INR 2,235 crores, the transaction marks one of the largest transactions in the Indian quick-service restaurant segment. Following the transaction, Inspira Global owns 41.78 per cent of the company,” it said.
Inspira Global is an established Indian group, promoted by Madhusudan Agrawal and Aayush Agrawal. Lenexis Foodworks is a leading quick service food company in India, which operates a portfolio of distinct brands – Chinese Wok, The Momo Co., and Big Bowl.
The board of Restaurant Brands Asia has also approved the appointment of Madhusudan Agrawal as Chairman and Aayush Agrawal as Non-Executive Director.
Moreover, upon exercise of all warrants, Inspira Global’s aggregate shareholding in the company would increase to 48.04 per cent by infusing further Rs 450 crore.
The board also approved the appointment of Madhusudan Agrawal as Chairman of the board and Aayush Agrawal as a non-executive director after a change in shareholding.
Restaurant Brands Asia said it will continue to operate the Burger King and Popeyes brands under its existing master franchise and development agreements with Restaurant Brands International Inc.
The agreements for Burger King operations in India and Indonesia have recently been extended till 2050, providing long-term visibility for the business, it added.
“On completion of the transaction, RBA continues to operate the Burger King and Popeyes brands under its existing master franchise and development agreements with the respective franchisors, both of which are owned by Restaurant Brands International Inc. The agreements for Burger King India and Indonesia were recently extended through 2050, providing long-term visibility for the business and reinforcing RBA’s growth ambitions across India and Indonesia,” it said.
Chairman Madhusudan Agrawal said the acquisition marks the beginning of a new phase for the company and that the focus would be on strengthening the business through patient capital, disciplined governance and a long-term growth approach.
Aayush Agrawal said the acquisition reflects the group’s confidence in India’s long-term consumption story and its commitment to building a leading food-service business through operational excellence and customer-centricity.
The company said the fresh capital infusion and expanded leadership team would support plans to expand its restaurant network, enhance customer experience, invest in technology and digital capabilities, and improve operational efficiency.
Restaurant Brands Asia is the national master franchisee of the Burger King brand in India and also operates Burger King and Popeyes outlets in Indonesia through its subsidiaries.
