Authored By HDFC SKY | Last Modified: Oct 7, 2026 11:24 AM IST

Reliance Industries shareholders will not receive Jio Platforms shares automatically. However, Jio Platforms’ DRHP provides a separate reservation for eligible RIL shareholders. With the Jio IPO reportedly planned for October 21, investors are watching the RHP filing date, which will determine eligibility.

Mumbai, Oct 7: With Jio Platforms IPO moving closer to launch, one question is gaining attention among investors: can investors buy Reliance Industries (RIL) shares and become eligible for the shareholder quota in the Jio IPO?

News agency Reuters reported earlier this week that Jio Platforms plans to open its public issue on October 21 and list the shares on October 28. The proposed IPO is expected to raise around $3.8 billion, potentially making it India’s largest IPO.

The answer depends on the date on which Jio Platforms files its Red Herring Prospectus (RHP) with the Registrar of Companies (RoC). The Jio Platforms DRHP specifically defines an eligible RIL shareholder based on holdings on the RHP filing date.

Importantly, holding RIL shares does not mean investors will receive Jio shares for free or automatically. Eligible shareholders can apply under a separate reserved portion of the IPO, subject to the final issue terms and allotment process in addition to the retail category.

Will RIL Shareholders Get Jio Shares?

No, Reliance Industries shareholders will not automatically receive Jio Platforms shares.

The Jio IPO is structured as a fresh issue of up to 27 crore equity shares. There is no Offer for Sale through which existing shareholders are distributing Jio shares to RIL investors.

Instead, the DRHP provides for a separate “RIL Shareholders Reservation Portion” for eligible shareholders of Reliance Industries. Eligible investors can apply for Jio shares through this reserved category, but allotment will depend on valid bids and the final allocation process.

Jio IPO Shareholder Quota: Key Details

Particular Details
Eligible investors Individuals and HUFs who are public equity shareholders of RIL
Eligibility date Date of filing of the Jio Platforms RHP with RoC
Maximum bid under shareholder quota ₹2 lakh
Allotment Proportionate, subject to valid bids
Minimum RIL holding stated in DRHP No minimum number specified
Shareholder quota size Not disclosed in DRHP
Shareholder discount Not mentioned in DRHP
Automatic Jio share allotment No
Can also apply in retail/NII? Yes, subject to applicable limits

The reservation size itself was left as a placeholder in the DRHP and will need to be disclosed in the final offer documents.

Can You Still Buy RIL Shares to Get Jio IPO Shareholder Quota?

Potentially, yes but the key date has not yet been officially disclosed.

The DRHP says an “Eligible RIL Shareholder” is an individual or HUF who is a public equity shareholder of Reliance Industries as on the date of filing of the RHP. This means the relevant eligibility date is not the June 19 DRHP filing date and is not simply the Jio IPO opening date.

As of October 7, the final RHP filing date has not been publicly disclosed. Reports have indicated that Jio Platforms is moving towards the final offer-document stage ahead of the reported October 21 IPO opening.

Therefore, investors considering RIL shares specifically for the Jio shareholder category need to watch for the RHP filing and the eligibility date stated in the final documents.

Buying RIL shares after that eligibility date would not create eligibility for the shareholder reservation.

Is There a Minimum Number of RIL Shares Required?

The Jio Platforms DRHP does not specify a minimum number of RIL shares that an investor must hold to qualify.

The definition focuses on whether an individual or HUF is a public equity shareholder of Reliance Industries on the relevant RHP filing date.

However, investors should not treat this as confirmation that buying a particular number of RIL shares guarantees an IPO allotment. The final RHP and issue documents will govern eligibility and the reservation.

How Much Can RIL Shareholders Apply for?

The DRHP caps the maximum bid amount under the RIL Shareholders Reservation Portion at ₹2 lakh per eligible RIL shareholder. The reserved shares are proposed to be allotted on a proportionate basis.

This is important because the shareholder quota is a separate application category, not a guaranteed allotment.

If demand in the shareholder category exceeds the number of shares reserved, eligible applicants may receive an allotment on a proportionate basis.

Can RIL Shareholders Also Apply in the Retail Category?

Yes.

The DRHP allows an eligible RIL shareholder bidding under the shareholder reservation to also bid under the Net Issue, including the Retail or Non-Institutional category, subject to the applicable limits. Such bids are not treated as multiple bids merely because the investor is applying in both categories.

This gives eligible RIL shareholders access to the dedicated shareholder category as well as the applicable regular IPO category.

Is There a Discount for RIL Shareholders?

The Jio Platforms DRHP does not mention any special price discount for Reliance Industries shareholders.

The shareholder benefit described in the draft document is the reservation itself, allowing eligible RIL shareholders to bid for shares in a separate reserved portion.

Any change to the pricing or shareholder benefit would have to be reflected in the final IPO documents.

When Will the Jio IPO Open?

Reuters has reported that Jio Platforms plans to launch the IPO on October 21, with the shares expected to list on October 28. The proposed issue is expected to raise approximately $3.8 billion.

However, these dates are based on reports from sources familiar with the matter. Investors should rely on the final RHP and official exchange announcements for the confirmed issue schedule.

The final price band, lot size and exact shareholder reservation are also important details still awaited from the final IPO documents.

Jio IPO Shareholder Quota vs Regular Retail Quota

The two categories should not be confused.

Feature RIL Shareholder Quota Retail Category
Who can apply? Eligible RIL shareholders Eligible retail investors
Special eligibility RIL shares held on RHP filing date No RIL holding requirement
Maximum bid ₹2 lakh under shareholder portion As per final IPO rules
Separate reservation Yes Yes
Guaranteed allotment No No
Can eligible RIL shareholder apply? Yes Yes, subject to limits

The exact number of shares reserved for RIL shareholders has not been disclosed in the DRHP and will be known from the final offer documents.

Why Is the RIL Shareholder Quota Important?

The shareholder reservation gives eligible Reliance Industries investors a separate route to participate in the Jio Platforms IPO.

Jio Platforms is a subsidiary of Reliance Industries, with RIL holding 66.43% before the proposed issue. The DRHP shows RIL as the promoter of Jio Platforms.

The proposed Jio IPO is entirely a fresh issue of up to 27 crore shares. The company plans to use a major portion of the net proceeds to prepay or repay certain borrowings of Reliance Jio Infocomm, its material subsidiary, with the balance intended for general corporate purposes.

Jio IPO: What RIL Shareholders Should Watch Now

For investors interested specifically in the shareholder quota, these are the key developments to track:

  1. RHP filing date – this is the critical eligibility date under the DRHP.
  2. Shareholder reservation size – the exact number of reserved shares is yet to be disclosed.
  3. Price band – the final IPO price range has not been announced.
  4. IPO opening date – Reuters has reported October 21 as the planned opening date.
  5. Listing date – Reuters has reported October 28 as the expected listing date.
  6. Final issue documents – these will establish the final terms of the shareholder category.

Conclusion

Reliance Industries shareholders will not receive Jio Platforms shares automatically when the Jio IPO takes place. Instead, Jio Platforms’ DRHP provides a separate shareholder reservation for eligible RIL investors.

The crucial point is that eligibility is linked to the date on which the RHP is filed with the RoC. Since that date and the final size of the shareholder quota have not been disclosed in the DRHP, investors cannot yet say with certainty that buying RIL shares on any particular day will qualify them.
