Bengaluru, October 30, 2025 – The merger of Mangalore Chemicals & Fertilisers Limited (NSE: MANGCHEFER, BSE: 530011) with Paradeep Phosphates Limited (NSE: PARADEEP, BSE: 543530) will take place tomorrow (31st October, 2025). This will mark the formal completion of their amalgamation process, whereby Mangalore Chemicals & Fertilisers Limited will dissolve and cease to exist as a separate entity, and all its assets and liabilities will be transferred to Paradeep Phosphates Limited, the surviving company.

Following the announcement of the merger date, the share price of Paradeep Phosphates Limited was trading at ₹168.14, down 1.75% or ₹2.99, ahead of the merger’s completion scheduled for October 31, 2025. The impending merger has kept market sentiment cautious, with investors likely adopting a wait-and-watch approach ahead of the transition.

Paradeep Phosphates Limited is one of India’s leading manufacturers of phosphatic fertilisers. The company was founded in 1981 and produces DAP, NPK grades, and urea under its flagship brands “Jai Kisaan” and “Navratna”, serving more than 9.5 million farmers through a vast network across 15 states. The company is listed on both NSE and BSE under the tickers PARADEEP and 543530, respectively.

Key Details of the Merger

The merger became effective on October 16, 2025, with an appointed date of April 1, 2024. The record date for share entitlement under the approved merger scheme has been fixed for Friday, October 31, 2025. On the record date, shareholders of Mangalore Chemicals will receive the equity shares of Paradeep Phosphates in accordance with the merger terms. These shares will be listed on BSE and NSE and will be pari passu with existing PPL shares. The transfer will be in dematerialised form.

Suspension of Trading

Following the completion of the merger on October 31, 2025, trading of the equity shares of Mangalore Chemicals & Fertilisers Limited will be suspended. This means that the last trading day for MCFL shares will be Thursday, October 30, 2025. The suspension is in accordance with the merger scheme. It precedes the allotment of new Paradeep Phosphates shares to eligible shareholders of Mangalore Chemicals.

Strategic Significance

The merger will strengthen Paradeep Phosphates’ position as one of India’s largest private-sector fertiliser producers. It will boost the company’s total production capacity by over 23%, taking it from 3.0 million MT to 3.7 million MT per annum. It will also add a strong southern manufacturing base in Mangalore to the company’s existing plants in Odisha and Goa, expanding its national reach and improving operational efficiency.

Market Snapshot

As of October 30, 2025, 11:38 am, shares of Paradeep Phosphates Limited were trading at ₹168.14, down 1.75% or 2.99 points. The shares opened in red at ₹171.00 and have had a slow session, with traded volume at 15.30 lakhs and traded value of ₹25.82 crore, and a total market capitalisation of ₹13,726.04 crore.
