New Delhi: NDR InvIT Trust, sponsored by NDR Warehousing Private Limited, has proposed to convert into a public InvIT through an initial public offering aimed at raising up to Rs 750 crore.

The proposed IPO comprises a fresh issue of units worth up to Rs 450 crore and an offer-for-sale (OFS) aggregating up to Rs 300 crore by Investcorp India Warehousing IFSC Trust, according to the draft offer document filed with markets regulator Sebi.

The fresh issue proceeds will be used to acquire 100 per cent of NDR Advanced Storage Private Limited for up to Rs 297.6 crore and 100 per cent interest in NDR Storewell Warehousing LLP for up to Rs 84.2 crore. The remaining proceeds will be used for general purposes.

The proposed acquisitions are expected to expand and diversify the Trust’s portfolio of income-generating warehousing assets and support future growth.

NDR InvIT Trust, which claims to be India’s first perpetual warehousing and industrial parks InvIT, manages a total leasable area of 22.97 million square feet as of June 2026. Of this, 21.58 million square feet has been developed.

Its portfolio is spread across key warehousing markets, including Ahmedabad, Bengaluru, Chennai, Hyderabad, Kolkata, Mumbai, Delhi-NCR and Pune.

NDR Warehousing, the sponsor of the InvIT, is one of India’s early warehousing developers and was the first entrant in the general warehousing space to secure funding from a major global institution, according to the JLL report cited in the offer document.

NDR InvIT Trust, registered with Sebi, owns and operates a portfolio of warehousing and industrial assets across key logistics markets in the country.
