Nestlé India declared a special dividend of ₹2 per share, taking the total proposed FY26 dividend to ₹12 per share, while the stock traded nearly 1% higher in morning trade.

Mumbai, July 3: Nestlé India has approved a special dividend of ₹2 per equity share, adding to the ₹10 per share final dividend proposed for the financial year ended March 31, 2026.
Subject to shareholder approval at the company’s Annual General Meeting, the total dividend payout for FY26 will stand at ₹12 per equity share, according to a regulatory filing on Thursday.
The special dividend has been declared from retained earnings made available under the company’s Scheme of Arrangement, which became effective after receiving approval from the National Company Law Tribunal (NCLT) in 2023.
Under the scheme, ₹8,374.3 million was transferred from the General Reserve to retained earnings. The company had earlier capitalised a part of those reserves through the bonus issue completed in August 2025. The balance has now been partly distributed through the special dividend approved by the board.
The proposal was cleared at a board meeting that commenced at 9:30 AM and concluded at 9:42 AM.
July 10 Fixed as Record Date
Nestlé India has fixed July 10, 2026, as the record date to determine shareholders eligible for both the proposed final dividend and the special dividend.
The dividend will be paid on or after July 30, 2026, to shareholders whose names appear in the register of members or in the records of the depositories as on the record date.

The company has announced special dividends on limited occasions, unlike its regular annual payouts. This year’s additional distribution follows the release of retained earnings under the approved restructuring scheme.

Nestlé India, which sells brands including Maggi, Nescafé, KitKat, Milkmaid and Cerelac, has maintained a steady dividend payout record over the years while continuing to invest in expanding manufacturing capacity and its product portfolio.
With the latest announcement, the company’s proposed dividend for FY26 stands at ₹12 per share, comprising the ₹10 final dividend and the ₹2 special dividend, subject to shareholder approval of the final dividend.
