New Delhi, July 26, 2025 – Nupur Recyclers Ltd (NSE: NRL) has formally executed a Share Purchase Agreement (SPA) to acquire a 51% stake in Tycod Autotech Private Limited, marking a strategic expansion into operational assets through a going concern acquisition model.

Transaction Overview

The agreement, signed on July 25, 2025, involves three parties:

  • Nupur Recyclers Limited (NRL)
  • Dickey Mudra Fund, a scheme of Dickey Alternative Investment Trust
  • Tycod Autotech Private Limited

Under the SPA, NRL will acquire a majority 51% stake in Tycod along with:

  • Land and Building
  • Plant and Machinery
  • Other Fixed Assets
  • Stock
  • Current Assets and Liabilities
