Mumbai, Aug 28: Tempsens Instruments (India) began trading on the Indian stock exchanges on Friday, with its shares listing at ₹634 on the National Stock Exchange (NSE) and ₹631.20 on the Bombay Stock Exchange (BSE). The NSE listing represented a 111.33% premium to the company’s ₹300 issue price, while the BSE debut was at a 110.40% premium. 

The listing followed the company’s initial public offering (IPO), which was open for subscription from 20 August to 24 August and received an overall subscription of 184.07 times. The shares were allotted on 25 August, ahead of the scheduled listing on NSE and BSE. 

Tempsens Shares Fall 5.81% to ₹597.15 on NSE; Fall 5.47% to ₹596.65 on BSE 

As of 10:39:18 a.m. IST, Tempsens Instruments (India) Limited was trading at ₹597.15 on the NSE, down 5.81% from its opening price of ₹634. The stock had touched a high of ₹634.85 and a low of ₹582.10, while its VWAP stood at ₹610.66. Despite the decline from the opening level, the share price remained 99.05% above the ₹300 issue price. The stock had traded 236.76 lakh shares, with a traded value of ₹1,444.77 crore by that time. 

As of 10:40 a.m. IST, Tempsens Instruments (India) shares were trading at ₹596.65 on the BSE, down 5.47% from the opening price of ₹631.20. The stock had touched an intraday high of ₹635 and a low of ₹582.05, while its volume-weighted average price (VWAP) stood at ₹608.53. Despite the decline from the opening level, the share remained 98.88% above the ₹300 issue price. By that time, 25.13 lakh shares had been traded, generating a turnover of ₹152.91 crore. 

₹634 NSE Listing Followed 184.07-Times IPO Subscription 

Tempsens Instruments opened at ₹634 per share on the NSE, compared with its final issue price of ₹300. On the BSE, the shares started trading at ₹631.20. The company had fixed the IPO price band at ₹285-₹300 per share, with the final issue price set at the upper end of the range. 

The IPO received bids for 2,79,44,36,850 shares against 1,51,81,667 shares offered, resulting in an overall subscription of 184.07 times. 

The QIB portion was subscribed 302.88 times, while the NII category recorded subscription of 314.44 times. The retail portion was subscribed 60.69 times, and the employee reserved portion was subscribed 124.94 times. 

Following the opening, the shares traded below their debut prices. The stock was reported at ₹620.35 on the BSE, representing a gain of nearly 107% over the issue price, and at ₹611.25 on the NSE, around 104% above the issue price. 

₹650 Crore IPO Combined Fresh Issue And OFS 

Tempsens Instruments’ IPO was a ₹650 crore book-built issue, comprising a fresh issue and an offer for sale (OFS). The fresh issue consisted of 31.67 lakh equity shares worth ₹95 crore, while the OFS comprised 1.85 crore shares worth ₹555 crore. 

The OFS involved shares held by existing shareholders, including Amit Talesara, Puneet Talesara and Chandra Prakash Talesara. 

The IPO had a minimum retail lot size of 50 shares. At the upper end of the price band, the minimum application value was ₹15,000. 

Before the public issue opened, the company raised ₹194.55 crore from anchor investors on 19 August. It allotted 64.84 lakh equity shares to 29 anchor investors. 

The anchor allocation included Aranda Investments, owned by Singapore’s Temasek Holdings, Goldman Sachs and Ashoka WhiteOak Emerging Markets Equity Fund. 

₹18.13 Crore Allocated for Electrical Heating And Cables 

The company plans to use proceeds from the fresh issue for capital expenditure related to its electrical heating solutions and specialised cable solutions businesses. The stated allocation for this purpose is ₹18.13 crore. 

Another ₹55 crore is earmarked for the pre-payment or scheduled repayment, in full or in part, of certain outstanding borrowings. The company has allocated ₹14.18 crore for general corporate purposes. 

The IPO-related information also specifies ₹50.65 crore towards issue expenses. 

The planned deployment of funds therefore covers capital expenditure, repayment of borrowings, general corporate purposes and issue-related expenses. 

Revenue Rose from ₹274.81 Crore to ₹444.88 Crore 

Tempsens Instruments reported revenue from operations of ₹274.81 crore in FY24, which increased to ₹378.53 crore in FY25 and further to ₹444.88 crore in FY26. Revenue therefore increased by approximately 37.74% between FY24 and FY25, followed by growth of about 17.53% between FY25 and FY26. 

Across the two-year period from FY24 to FY26, revenue increased by approximately 61.88%. The information provided does not include quarterly revenue figures, so a quarter-on-quarter comparison cannot be established from the available data. 

For FY24-FY26, the company reported revenue, EBITDA and profit after tax compound annual growth rates (CAGRs) of 27.2%, 35.2% and 28.2%, respectively.

Tempsens Instruments completed its anchor allocation on 19 August, one day before the IPO opened for public subscription. The company raised ₹194.55 crore through the anchor portion and allotted 64.84 lakh equity shares to 29 investors. 

The public issue subsequently opened on 20 August and closed on 24 August. The final subscription figure stood at 184.07 times, with QIBs, NIIs, retail investors and employees recording different levels of subscription. 

The allotment of shares was completed on 25 August, followed by the listing on NSE and BSE on 28 August. 

The listing completed the company’s transition from the IPO process to trading on the public markets. The issue had raised funds through a combination of fresh equity issuance and an OFS, with the company’s stated use of proceeds focused on capital expenditure, repayment of borrowings and general corporate purposes.
