Ahmedabad, June 24, 2025 – Valencia India Limited is set to launch its Initial Public Offering (IPO) on Thursday, June 26, 2025. The company has fixed a price band of ₹95 to ₹110 per equity share of face value ₹10. The issue will close on Monday, June 30, 2025.

Offer Structure & Promoter

Promoter Keyur Patel of Valencia India offers equity in this new issue. Hem Securities Limited will lead and manage Valencia India IPO, with KFin Technologies Limited as the registrar. The offer is through the book-building process under the SEBI ICDR Regulations (Regulation 229(2) Chapter IX).

Business Overview

Headquartered in Gujarat, Valencia India Limited is engaged in the hospitality and leisure business, operating through a club membership, resorts, and an affiliated services network. The company has a 20-year agreement with Mahindra Holidays & Resorts to support its operations and client offerings.

Valencia owns and operates resorts in Rajasthan and other states, and construction projects are ongoing in prime tourist areas such as Pushkar, Sawai Madhopur, and Udaipur.

Risks to Investors

As per the advertisement on page 16 of the Financial Express dated June 21, 2025:

  • The company’s agreement with Mahindra Holidays expires in 5 years post-IPO, which could impact future revenue streams.
  • A significant portion of income depends on converting leads into memberships.
  • There is a high dependency on inventory and seasonality.

Basis of Issue Price

The price-to-earnings (P/E) ratio on the floor price is 13.67x, and on the cap price, it is 15.78x, using FY24 earnings, compared to the industry average of 42.18x. It also offers a market maker to facilitate liquidity post-listing.

Valencia India Limited, incorporated in March 2017, is focused on the leisure and hospitality segment with upcoming projects in key tourist destinations. The company is proposing to list its shares on NSE Emerge and is converting from a private to a public limited company as part of the IPO listing requirement.
