NCLT asks Vedanta to respond to SEBI’s objections

A number of developments related to the company took place in the past few days. In a somewhat positive development, National Company Law Tribunal (NCLT) has asked Vedanta to respond to SEBI’s objections regarding its demerger proposal, by October 8th.

SEBI said it is not opposed to the demerger scheme, per se

Vedanta is seeking a demerger of itself into 5 separate, listed companies. Its shareholders and creditors have given approval to the demerger scheme. But SEBI and Ministry of Petroleum and Natural Gas have raised some objections. SEBI has said that it is not opposed to the demerger. But Vedanta changed the scheme of arrangement after receiving no objection certificate from the exchanges regarding the demerger, the regulator said.

Objections of Ministry of Petroleum and Natural gas

Minister of Petroleum and Natural gas has said that the scheme of the demerger does not fully disclose the financial risks involved in the demerger. It also does not include disclosures regarding ownership of certain hydrocarbon assets post the demerger. The Ministry recently rejected Vedanta’s application for extending the production sharing contract in an oil & gas field in Cambay basin. Vedanta has challenged this decision in the Delhi High Court.
