PUNE, May 25, 2025Bajaj Auto Limited (NSE: BAJAJ-AUTO, BSE: 532977) has announced a significant strategic acquisition, wherein its wholly owned Netherlands-based subsidiary, Bajaj Auto International Holdings BV (BAIH), will acquire full control of Pierer Bajaj AG (PBAG) the holding entity of Pierer Mobility AG and KTM AG, Europe’s leading motorcycle manufacturer.

Strategic Rationale

“This acquisition is a critical step in realigning governance and rebuilding the KTM business. It opens the door for deeper restructuring and future partnerships,” stated the company.

Upon completion, the Pierer Group will exit PBAG, and Bajaj Auto will gain full control of PMAG and its premium motorcycle brands: KTMHusqvarna, and GASGAS.

Corporate Structure & Interest

  • PBAG holds a 74.94% stake in Pierer Mobility AG (PMAG), which in turn controls KTM AG.
  • BAIH is a 100% subsidiary of Bajaj Auto.
  • Promoter and MD Rajiv Bajaj serves on PBAG’s Supervisory Board.

Despite the indirect involvement of group entities, Bajaj Auto has clarified that:

  • The deal is at arm’s length.
  • It does not fall under related party transactions as per SEBI regulations.
