Mumbai, 9 July 2025: Capri Global Capital Ltd (NSE: CGCL, BSE: 531595) has taken a strategic step towards expanding its footprint in capital markets by incorporating a wholly owned subsidiary—Capri Global Financial Services Private Limited (CGFSPL). The new entity is set to operate in the merchant and investment banking segment, positioning Capri Global for deeper engagement in financial advisory and capital market services.
Capri Global Secures Regulatory Nod for New Subsidiary
On 8 July 2025 at 6:16 PM, the Ministry of Corporate Affairs issued the Certificate of Incorporation for CGFSPL, formally marking its creation. Entirely owned by Capri Global Capital Ltd, CGFSPL is yet to begin operations and will initially focus on merchant banking and investment banking services.

New Subsidiary to Focus on Capital Market Services
CGFSPL has been created with a clear mandate to offer a wide range of services in alignment with SEBI (Merchant Bankers) Regulations, 1992. The company will apply for all the requisite regulatory approvals and licenses to function as a Category I Merchant Banker.
Proposed Business Activities:
- Managing IPOs, FPOs, QIPs, buybacks, rights issues, and open offers
- Acting as lead managers, underwriters, advisors, and arrangers
- Offering strategic financial advice for mergers, acquisitions, takeovers, and divestitures
- Participating in the placement and distribution of equity, debt instruments, structured products, REITs, and InvITs
- Conducting due diligence, valuations, credit analysis, and project finance evaluations
- Ensuring full compliance with SEBI, RBI, and other statutory authorities
The formation of CGFSPL is part of Capri Global’s long-term vision to strengthen its role in India’s financial services ecosystem by entering the regulated space of merchant banking.
No Acquisition or Share Swap Involved in Formation
The incorporation of CGFSPL was executed without any external acquisition, governmental approval, or share swap mechanism. Since this is an internal formation, the cost of acquisition is not applicable. The entity has not commenced operations and currently has no turnover or financial history.

Capri Global Capital Ltd, a listed NBFC, currently operates in lending verticals including MSME loans, gold loans, home loans, and construction finance.
