Mumbai, September 25: CESC has entered into a Power Purchase Agreement with Prism Johnson for a 49.5 MW captive wind power project in Madhya Pradesh, marking the group’s first commercial and industrial renewable power arrangement through its renewable energy platform.

The agreement will supply renewable electricity to Prism Johnson’s cement manufacturing operations in the state under a captive power structure.

CESC Enters 49.5 MW Captive Wind Power Agreement

According to the exchange filing, Prism Johnson has entered into the PPA with KUS Renewable Private Limited, a wholly owned subsidiary of Purvah Green Power Private Limited, which is itself a subsidiary of CESC.

Under the arrangement, KUS Renewable will establish the 49.5 MW wind power project at Tehsil Alot in Ratlam district, Madhya Pradesh. The project is scheduled to achieve commercial operation by January 25, 2028, with the generated power to be supplied to Prism Johnson’s manufacturing facility in Satna.

The PPA has a tenure of 25 years, providing a long-term renewable power supply arrangement for the cement manufacturer.

Prism Johnson To Invest Up To ₹40 Crore In KUS Renewable

Alongside the PPA, Prism Johnson, CESC and Purvah Green Power Private Limited have executed a Share Subscription and Shareholders’ Agreement.

Under the arrangement, Prism Johnson will invest up to ₹40 crore in KUS Renewable to acquire 26.5% equity and redeemable preference shares in the project company. The investment is expected to be completed in tranches, with the subscription tentatively scheduled by October 31, 2027.

The exchange filing said the transaction is not a related-party transaction. KUS Renewable did not contribute to CESC’s consolidated turnover during the financial year ended March 31, 2026, as the wind project is yet to commence operations.

Renewable Power To Support Prism Johnson’s Cement Operations

The captive structure is intended to provide Prism Johnson with renewable power for its cement production facility in Satna. The arrangement also gives CESC’s renewable energy business exposure to the commercial and industrial power segment.

The project is part of Purvah Green Power’s broader strategy to build a renewable energy platform and expand its presence beyond utility-linked projects. The company said the focus includes energy-intensive industries where reliable, long-term renewable power can form an important part of operating costs.

For Prism Johnson, the arrangement provides a dedicated renewable power source for its manufacturing operations. The cement company will hold the ownership interest required for the captive generation structure.
