Enviro Infra Engineers Completes Acquisition of Sunaxis Renewables

Mumbai, June 7, 2025 — Enviro Infra Engineers Limited (NSE: EIEL, BSE: 544290) has announced the completion of the acquisition of Sunaxis Renewables Private Limited through its wholly owned subsidiary, EIE Renewables Private Limited. The acquisition was completed on June 6, 2025.

The disclosure was made in compliance with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Master Circular dated November 11, 2024, as amended on December 31, 2024.

Following the transaction, Sunaxis Renewables has become a wholly owned subsidiary of EIE Renewables and a step-down wholly owned subsidiary of Enviro Infra Engineers Limited.

Transaction Details

As per the filing, the acquisition is classified as a related party transaction. Mr. Sanjay Jain and Mr. Manish Jain, promoter-directors of Enviro Infra Engineers Limited, were the directors and equal shareholders of Sunaxis Renewables Private Limited. The entire 10,000 equity shares (₹10 face value each) of the target company were acquired at par by EIE Renewables for a total cash consideration of ₹1,00,000.

No regulatory or governmental approvals were required for the acquisition. The consideration was paid in cash, and the transaction was completed on June 6, 2025.

Sunaxis Renewables Private Limited is an Indian company incorporated on April 21, 2025, under the Companies Act, 2013. It has an authorised and paid-up capital of ₹1,00,000. As a newly incorporated entity, it has reported nil turnover since inception.

The company is engaged in the business of executing ground-mounted and floating solar power projects across India. It will act as a Special Purpose Vehicle (SPV) for engineering, procurement, construction, commissioning, and operation and maintenance of solar projects, including all ancillary activities.
