Info Edge Approves Up To Rs 250 Crore Commitment To B8 Fund I, Smartweb To Act As Sponsor And Investment Manager

Info Edge (India) Ltd, parent company of Naukri.com, Jeevansathi and other websites, on February 26, 2026 approved entering into a contribution agreement with B8 Fund I for a commitment of up to Rs 250 crore, according to a Regulation 30 disclosure filed with the exchanges. The proposed investment will be made directly and/or through wholly owned subsidiaries, including Smartweb Internet Services Ltd, which is expected to act as sponsor and investment manager of the fund.
Board Approves Contribution To SEBI-Registered AIF Scheme
As per the filing dated February 26, 2026, the board cleared a commitment to B8 Fund I, a scheme launched by B8 Trust and registered with the Securities and Exchange Board of India (SEBI) as a Category II Alternative Investment Fund under the SEBI (Alternative Investment Funds) Regulations, 2012.
The aggregate commitment under the contribution agreement is capped at Rs 250 crore and may be deployed in one or more tranches. The company stated that the scheme will seek to generate long-term growth for contributors by investing in growth-stage technology-enabled businesses in India or those primarily focused on the Indian market.
Smartweb Internet Services Ltd, a wholly owned subsidiary of Info Edge, is proposed to act as sponsor and investment manager to the fund. Upon execution of the investment management agreement between the trustee of the fund and Smartweb, the fund and its schemes would be treated as related parties of the company under Regulation 2(1)(zb) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Accordingly, the proposed investment would qualify as a related party transaction. The company clarified that promoter and promoter group entities have no interest in the investment and that the transaction will be undertaken on an arm’s length basis.
The life of the scheme is eight years from the first closing, extendable by up to two years with the consent of two-thirds of the contributors. Actual drawdowns are expected to occur over the tenure of the scheme, subject to investment opportunities, market conditions and fund expenses.
