Kansai Nerolac To Sell Entire Stake in Sri Lanka Subsidiary

Friday, December 12, 2025: Kansai Nerolac Paints Limited (NSE: KANSAINER | BSE: 500165) has made a regulatory filing announcing that the company will be selling its entire stake in its Subsidiary, Kansai Paints Lanka (Private) Limited.

Entire 60% stake will be sold by the company

The company made a regulatory filing dated Thursday, December 11, 2025, announcing that it will be selling its entire stake in its subsidiary, Kansai Paints Lanka (Private) Limited. The company holds 60% of the total equity share capital of Kansai Paints Lanka (Private) Limited. It is now being sold to Atire (Private) Limited. Its subsidiary, Kansai Paints Lanka (Private) Limited, is based in Sri Lanka, and the acquiring entity, Atire (Private) Limited, is also based in Sri Lanka.

The sale of the stake will be done through an agreement for the sale of its stake. The company has stated that, as per Regulation 30 of SEBI Listing Regulations, read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, the required information under the agreement for the sale will be communicated to the stock exchange upon execution of the agreement.

The company has further clarified in the stock exchange filing that Kansai Paints Lanka (Private) Limited is not a material subsidiary of the company, and post execution of the Agreement, Kansai Paints Lanka (Private) Limited shall cease to be a subsidiary of the company.
