Mumbai, May 5: Larsen & Toubro Limited has allotted 35,981 equity shares under its Employee Stock Option Schemes after employees exercised their stock options, the company said in an exchange filing on Tuesday.

The allotment was approved by the Nomination and Remuneration Committee on May 5, 2026. The company said the new shares will rank pari passu with existing equity shares in all respects.

The allotment is part of the company’s ongoing employee compensation programme.

Stock Market Snapshot

Shares of Larsen & Toubro fell 1.14% to ₹4,053.90 as of 15:16 IST on May 5, 2026, compared with the previous close of ₹4,100.80, as per exchange data.

The decline suggests a mild market reaction, with some investors factoring in the marginal dilution from the additional shares. However, the size of the allotment remains small relative to the company’s overall equity base.

Routine Capital Update

The shares have been issued under existing ESOP plans, which are commonly used to align employee incentives with long-term company performance.

The company did not disclose details such as the exercise price or the overall impact on paid-up capital. No external regulatory approvals are required for such allotments beyond internal committee approvals.

Company Background

Larsen & Toubro operates across infrastructure, energy, defence and technology services, and is one of India’s largest engineering and construction groups.

It runs structured employee incentive programmes, including stock options, as part of its broader talent retention strategy.

What it Means

The ESOP allotment is a routine development and does not materially change the company’s capital structure.

While the stock saw a decline during the session, investor focus is likely to remain on business performance and order inflows rather than such incremental equity issuances.
