Noida, July 22, 2025 – Samvardhana Motherson International Ltd (NSE: MOTHERSON, BSE: 517334) has allotted 351.81 crore fully paid-up bonus equity shares on July 21, 2025, in a 1:2 ratio, marking the completion of a major capital restructuring approved by shareholders earlier this month.

The bonus follows a board recommendation made in May 2025 and a postal ballot approval. As a result, the company’s share capital has increased from ₹703.62 crore to ₹1,055.44 crore. It also revised the CCD (compulsorily convertible debentures )conversion floor price from ₹190.00 to ₹126.67 post-bonus.

As of 12:15 PM IST on July 22, 2025, Samvardhana Motherson International Ltd was trading at ₹98.80, down 1.99% from its previous close of ₹100.81. The stock opened at ₹101.00 and moved between an intraday high of ₹101.27 and a low of ₹98.70. The volume-weighted average price (VWAP) stood at ₹99.50.

Traded volume was 64.45 lakh shares, with a turnover of ₹64.13 crore. Deliverable quantity stood at 56.74% of traded volume. The company’s total market capitalisation was ₹1,04,277.89 crore, and its free-float market capitalisation was ₹43,575.44 crore. It remains part of the NIFTY NEXT 50 index and operates within the Auto Components & Equipments sector.

CCD Conversion Price Revised

Following the bonus issue, the company has also revised the conversion floor price for its 1,50,000 compulsorily convertible debentures (CCDs) issued via Qualified Institutions Placement in September 2024. The revised price now stands at ₹126.67 (post-bonus), compared to the earlier ₹190.00 (pre-bonus).

With the bonus issue now complete and share capital expanded to over ₹1,055 crore, Motherson has reinforced its equity base without impacting cash reserves. The revised CCD floor price reflects the adjusted valuation post-bonus, supporting capital structure stability ahead of future conversion timelines.
