NOCIL AGM Notice, Final Dividend Update; Shares Fall 1.95%

Mumbai, June 5: NOCIL Ltd informed shareholders that its 64th Annual General Meeting (AGM) will be held on Monday, August 3, 2026, at 3:00 PM IST through video conferencing and other audio-visual means.

The company said the AGM will be conducted in compliance with provisions of the Companies Act, 2013, SEBI Listing Regulations and relevant MCA circulars permitting virtual shareholder meetings.

NOCIL stated that electronic copies of the AGM notice, annual report for FY26 and explanatory statements will be sent to shareholders whose email addresses are registered with the company or depositories, according to a shareholder notice published on June 5, 2026.

The company also advised shareholders holding shares in physical form to update PAN, contact details, bank account information and nomination details in line with SEBI requirements.

Final Dividend Of ₹1.50 Per Share Proposed

NOCIL said the board had recommended a final dividend of ₹1.50 per equity share of ₹10 each for the financial year ended March 31, 2026, at its meeting held on May 7, 2026.

The dividend proposal is subject to shareholder approval at the upcoming AGM. According to the notice, eligible shareholders whose names appear in the company’s register of members as on July 24, 2026, will receive the dividend on or after August 10, 2026.

The company added that dividend payments would be processed electronically and no demand drafts would be issued.

As per the Finance Act, 2020, dividend income remains taxable in the hands of shareholders and tax deducted at source will apply at prescribed rates.
