Nykaa Gets NCLT Nod for Merger of LBB Into Nykaa Fashion

Mumbai, May 28, 2025: FSN E-Commerce Ventures Ltd (NSE: NYKAA), the parent company of leading beauty and lifestyle platform Nykaa, has secured approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for the merger of its wholly owned subsidiary Iluminar Media Ltd—widely known as Little Black Book (LBB)—with Nykaa Fashion Ltd.

The NCLT passed the merger order on May 27, 2025, and set the appointed date as April 1, 2024.

Strategic Purpose of the Merger

Nykaa acquired LBB in August 2022, gaining full ownership of the lifestyle content and discovery platform. LBB is known for its curated recommendations and digital content across fashion, food, and home décor, alongside its community-focused approach.

Through this amalgamation, Nykaa aims to strengthen its content-led consumer engagement model. The integration of LBB’s capabilities in content creation, community curation, and event marketing is expected to complement Nykaa Fashion’s positioning as a premier destination for style and self-expression.

The move will consolidate Nykaa’s content and events functions under one umbrella, enhancing consumer interaction, streamlining tech infrastructure, improving brand partnerships, and increasing marketing effectiveness.

Regulatory and Compliance Notes
