Mumbai, June 22: PNC Infratech has incorporated a wholly owned subsidiary to execute a recently awarded National Highways Authority of India (NHAI) project in Uttar Pradesh, taking another procedural step toward commencing work on the highway development contract.

The company said Barabanki Mustafabad Highway Private Ltd. was incorporated on June 17 as a special purpose vehicle (SPV) for the project. Infrastructure developers typically create dedicated SPVs for large road concessions, allowing project financing, execution and operations to be managed separately from the parent company.

The newly formed entity will implement the six-laning of the existing NH-927A corridor from 4+030 km to 43+030 km in Uttar Pradesh under the Hybrid Annuity Model (HAM).

PNC Infratech and its wholly owned subsidiary, PNC Infra Holdings Ltd., have subscribed to the equity capital of the SPV. The company will hold 100% ownership in the newly incorporated entity.

The incorporation itself does not create new revenue or alter the value of the project. Instead, it marks an administrative milestone that enables the company to move toward execution of the highway contract awarded by NHAI.

Stock Market Snapshot

Investors appeared largely unfazed by the procedural nature of the announcement, though the stock remained in positive territory during morning trade.

As of 10:06 IST on June 22, 2026, PNC Infratech shares were trading at ₹230.07, up ₹4.06 or 1.80%. The PNC Infratech share price gained alongside broader activity in infrastructure and construction stocks.

While the formation of an SPV is a standard requirement for HAM road projects, investors often monitor such developments because they indicate progress toward financial closure and project execution.

The market’s focus is likely to remain on the pace of order execution, fresh project wins and the company’s ability to convert its order book into revenue over the coming quarters.

Conclusion

The incorporation of Barabanki Mustafabad Highway Private Ltd. may be a routine corporate step, but it moves the NHAI project closer to execution.

For investors, the announcement is less about the creation of a new subsidiary and more about the progress of PNC Infratech’s project pipeline. Attention will now shift to milestones such as financial closure, construction commencement and execution timelines for the highway project.
