Poonawalla Fincorp Allots ₹1,000 Crore NCDs; Shares Decline Nearly 4%

Mumbai, May 11: Poonawalla Fincorp Ltd said its finance committee has approved the allotment of 1,00,000 secured, redeemable, rated and listed non-convertible debentures (NCDs) aggregating to ₹1,000 crore through private placement, according to an exchange disclosure. 

The company stated that each debenture carries a face value of ₹1,00,000. The NCD issuance also includes premium aggregation of ₹18,26,000, taking the total issue size to ₹1000,18,26,000. 

As per the filing, the NCDs are classified as “PFL NCD Series ‘B1’ FY2026-27” and will be listed on the debt market segment of BSE. 

The allotment date has been fixed as May 11, 2026, while the maturity date is scheduled for May 11, 2028. The instrument carries a coupon rate of 8.25% per annum with a tenure of 731 days. 

According to the company, the debentures are secured through a first-ranking pari passu charge on hypothecated properties sufficient to maintain the required security cover. 

Stock Market Snapshot 

Poonawalla Fincorp share price traded lower following the debt fundraising disclosure. Shares of the company were trading at ₹444.20, down 3.92%, as of 2:53 PM IST on May 11, 2026, according to exchange data. 

The market reaction came amid broader tracking of funding costs, borrowing plans and liquidity management by non-banking financial companies. 

Investors often monitor NCD issuances to assess funding diversification, liability management and future lending growth capacity within NBFCs.
