RPG Life Sciences Subsidiary Acquires Raghava Life Sciences’ API Biz for Rs 135 Cr

New Delhi: RPG Life Sciences Ltd‘s wholly-owned subsidiary, RPG Active Pharma Ltd, has entered into a business transfer agreement to acquire the active pharmaceutical ingredients (API) and intermediates business of Raghava Life Sciences for an amount up to Rs 135 crore.
The transaction will be executed on a going-concern basis through a slump sale, subject to customary closing conditions and regulatory approvals, RPG Life Sciences said in a regulatory filing.
This marks RPG Active Pharma’s second strategic acquisition following Actis Generics, aimed at strengthening its integrated API play and manufacturing footprint, it said.
The acquisition includes a portfolio of 22 commercialised APIs and seven development-stage assets across therapeutic segments such as diabetes, cardiovascular and CNS.
RPG Life Sciences Ltd Managing Director Ashok Nair said, “This acquisition marks an important addition to the RPG Active Pharma Limited consolidated organization… By combining these manufacturing and product capabilities with Actis’ intermediate strengths, we intend to build a larger presence and capture a greater share of the growing API market.” The deal will be funded through a recent equity raise by RPGAP. Quillon Partners acted as legal advisors, while o3 Capital and Deloitte served as financial and due diligence partners for the transaction.
