State-run hydro power producer SJVN Limited on 11 February 2026 announced an interim dividend of ₹1.15 per equity share for the financial year 2025–26, alongside approval to raise up to ₹1,000 crore through non-convertible debentures (NCDs), according to an exchange filing.

The decisions were taken at the meeting of the Board of Directors held on 11 February 2026 and disclosed under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company has fixed 20 February 2026 as the record date for determining shareholders eligible to receive the interim dividend.

The interim dividend will be paid within the statutory period prescribed under the Companies Act, 2013. The fundraise of up to ₹1,000 crore will be undertaken through issuance of unsecured, rated, taxable, redeemable, non-convertible, non-cumulative debentures on a private placement basis, subject to applicable approvals.

Purpose Behind the Fundraise

SJVN stated that it plans to raise up to ₹1,000 crore via private placement of NCDs. The instruments will be unsecured and redeemable in nature.

The company did not provide specific project-level allocation details in the filing. Such issuances are typically utilised for capital expenditure, refinancing of existing debt, or general corporate purposes, as per board approvals and regulatory disclosures.

Impact on Shareholders

The interim dividend of ₹1.15 per equity share will be paid to shareholders whose names appear in the records as on the record date of 20 February 2026.

The issuance of non-convertible debentures will not result in equity dilution, as NCDs are debt instruments and do not convert into equity shares. The proposed fundraise may, however, increase the company’s overall debt depending on the quantum issued.
