SML Isuzu Ltd. reported a steady financial performance for the fiscal year ended March 31, 2025, registering a 12.7% year-over-year (YoY) growth in net profit to ₹121.67 crore. The company also announced a final dividend of ₹18 per equity share (180%) for FY25, subject to shareholder approval.

Dividend Announcement

The Board has recommended a final dividend of ₹18 per share (180%), amounting to ₹26.05 crore for FY25.

Ownership Change & Open Offer

In a significant strategic move:

  • Sumitomo Corp (43.96%) and Isuzu Motors (15%) have agreed to sell their combined 58.96% stake in SML Isuzu to Mahindra & Mahindra Ltd at ₹650/share.
  • Mahindra has also initiated an Open Offer for an additional 26% equity at ₹1,554.60/share, representing a substantial premium.

Governance and Executive Changes

  • Mr. M.S. Ramta, Executive Director (Works), will retire on 31 May 2025. Interim charge will be handled by:
    • Mr. Sandeep Chandna – Production, HR & Plant Operations
    • Mr. Vikas Sharma – R&D and Quality Assurance
  • Appointment of M/s A. Arora & Co. as Secretarial Auditor for FY26–FY30 was approved.

Audit Outcome

The statutory auditors, Walker Chandiok & Co LLP, issued an unmodified opinion on the FY25 financial results, reaffirming compliance with SEBI LODR and Ind-AS standards.
