Mumbai, August 25: Shares of Tata Consultancy Services (TCS) slipped as much as 0.9% on Tuesday after brokerages adopted a cautious stance on the IT major’s 320-million acquisition of Porsche’s consulting subsidiary MHP, citing concerns over the target’s declining revenue and potential integration challenges. As of writing TCS was down 0.5% at Rs 2,272. The stock has declined 29.6% so far in 2026, significantly underperforming the Nifty 50. 

TCS-MHP Deal 

TCS announced on Monday that it will acquire 100% of MHP Management- und IT-Beratung GmbH, an automotive and industrial consulting company owned by German luxury carmaker Porsche, for an enterprise value of 320 million, or about 3,573 crore. The transaction is expected to close within three to four months and is part of a broader strategic partnership between TCS and Porsche.

MHP has capabilities across business consulting, digital transformation, artificial intelligence, software-defined mobility, SAP and manufacturing digitalisation. The company employs around 4,500 people and reported turnover of 742 million in calendar year 2025, down from 830 million in 2024. 

The acquisition will strengthen TCS’ presence in European automotive consulting, an area where the IT major has relatively limited exposure. Alongside the transaction, Porsche has signed a five-year strategic agreement worth 1.25 billion, or nearly 14,000 crore, with MHP and TCS. The partnership will focus on AI-led transformation, next-generation manufacturing technologies and software-defined mobility. 

Brokers Flag Integration Risk 

Brokers retained ‘Hold’ rating on TCS, saying the acquisition addresses gaps in the company’s European automotive and consulting presence. The committed revenues from Porsche also offer greater visibility for the acquired business. 

However, they cautioned that integrating MHP could prove more challenging than expected and do not see a significant impact on TCS’ earnings per share from the transaction. 

Some took a more bearish view, retaining ‘Sell’ rating on TCS with the target price implying around 20% downside from Monday’s closing price of 2,284.10. 

The brokerages acknowledged that the Porsche partnership could provide near-term revenue support but highlighted MHP’s falling revenue as a key concern. They warned that the existing revenue book could contract further, raising questions about the sustainability of the acquired business. 

Based on its assumptions for MHP’s FY28 revenue run-rate and margins, they estimated that TCS is paying around 5-8 times enterprise value to EBIT for the business. While the acquisition multiple appears relatively modest, they said this reflects the risks associated with a potential contraction in MHP’s revenue. 

IT Sector Challenges 

The cautious brokerage reaction comes at a difficult time for India’s IT services sector, which faces subdued discretionary technology spending and uncertainty over the pace at which generative artificial intelligence could reshape traditional outsourcing demand. 

For TCS, the MHP acquisition offers greater exposure to automotive technology, AI and digital manufacturing, but investors will now look for evidence that the company can stabilise MHP’s revenue and integrate the business without putting further pressure on growth and profitability.
