December 9, 2025: The Board of Directors of Tilak Ventures Limited met today and approved the terms of a proposed rights issue. The meeting commenced at 12.30 p.m. and concluded at 2.20 p.m. 

The Board has fixed Monday, December 15, 2025, as the record date to determine eligible equity shareholders who will receive the rights entitlement. The company has coordinated with NSDL and CDSL to ensure the rights entitlements are credited in demat accounts of eligible shareholders prior to the issue opening.

Rights Issue Details

The rights issue will comprise 89,13,93,612 equity shares of face value ₹1 each, to be issued at par at ₹1 per share, totalling up to ₹89.13 crore. The rights entitlement ratio is 2:1, meaning two rights equity shares for every one fully paid-up share held on the record date. The issue will open on Wednesday, December 24, 2025, and close on Friday, January 9, 2026, with an on-market renunciation period from December 24, 2025, to January 2, 2026. The Rights Issue ISIN is INE026L20048.

Share Price Reaction

Following the announcement, Tilak Ventures share price surged 5.14%. The stock opened at ₹2.95, fluctuated between ₹2.75 and ₹3.04, and closed at ₹3.07 per share. The company has a market capitalization of ₹136.83 crore and a P/E ratio of 15.78. Its 52-week high is ₹3.87 and the 52-week low is ₹2.38. No dividend has been declared, and the quarterly dividend amount is also not applicable.

Historical Context

Since February 17, 2022, Tilak Ventures has issued rights shares twice. The most recent rights issue was on September 13, 2024, where shares of ₹1 each were offered in a 1:1 ratio at a premium of ₹1 per share, with the record date on the same day. The earlier rights issue took place on February 17, 2022, with shares of ₹1 each issued in a 3:4 ratio at a premium of ₹4, and the record date was February 18, 2022.
