Mumbai, June 11, 2025: Narayana Hrudayalaya Ltd (NSE: NH, BSE: 539551) has committed fresh capital of USD 1 million to Cayman Integrated Healthcare Limited (CIHL), a step-down foreign subsidiary. The investment was made via its wholly owned subsidiary, Health City Cayman Islands Ltd (HCCI), and is intended to strengthen the working capital base of CIHL.

On June 11, 2025, as of 10:03 AM IST, shares of Narayana Hrudayalaya Ltd traded at ₹1,818.50, reflecting a modest gain of ₹4.60 or 0.25% from the previous close. The stock opened at ₹1,826.50 and reached an intraday high of ₹1,845.00, with a low of ₹1,814.00. The company’s market capitalisation stood at ₹36,930 crore. The gains follows the news of the company’s USD 1 million capital infusion into its Cayman-based subsidiary to strengthen global operations


Investment Structure and Shareholding Update

As per disclosures made under Regulation 30 of the SEBI (LODR) Regulations, 2015, CIHL allotted 100,000 fully paid ordinary shares to HCCI on June 10, 2025. Each share was issued at USD 10, which includes a face value of USD 0.01 and a premium of USD 9.99.

This latest capital injection brings HCCI’s total equity investment in CIHL to USD 8.05 million, up from the previous stake of USD 7.05 million.

Regulatory Classification and Compliance

This transaction qualifies as a related party deal between a parent and its wholly owned step-down subsidiary. In accordance with SEBI circulars dated July 13, 2023 (SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123) and November 11, 2024 (SEBI/HO/CFD/PoD2/CIR/P/0155), the company clarified that the transaction is conducted at arm’s length and does not involve any promoter group or their associates.

Since CIHL is already a fully owned subsidiary, no regulatory approvals were necessary for this capital infusion.

CIHL was formed on September 28, 2022, and operates in the health insurance domain. The entity is based in the Cayman Islands and recorded its maiden revenue of USD 3.9 million in the fiscal year 2024–25. CIHL had reported no turnover in its earlier fiscal years since incorporation.
