V-Guard’s Profit Down by 31.9% in June Quarter

Kochi, July 29, 2025 – V-Guard Industries Ltd’s (NSE: VGUARD, BSE: 532953) net profit in June quarter came down y-o-y by 31.9% to Rs 55.71 crore. Revenue was down 0.58% to Rs 1,406.38 crore.
Financial Highlights: Q1FY26 vs Q1FY25
Standalone Results (₹ in crore)
- Revenue from operations stood at ₹1,406.38 crore, marginally down 0.58% compared to ₹1,414.53 crore in Q1 FY25.
- Profit before tax (PBT) dropped to ₹75.56 crore, marking a sharp 31.5% decline from ₹110.26 crore in the same quarter last year.
- Net profit fell 31.9% YoY to ₹55.71 crore, down from ₹81.88 crore in Q1 FY25.
- Earnings per share (EPS) (basic and diluted) also declined to ₹1.27, compared to ₹1.87 in the year-ago period.
Consolidated Results (₹ in crore)
- Revenue from operations came in at ₹1,466.08 crore in Q1 FY26, slightly down by 0.75% YoY from ₹1,477.10 crore in the year-ago quarter.
- Consolidated net profit declined 25.4% YoY to ₹73.85 crore, compared to ₹98.97 crore in Q1 FY25.
- Earnings per share (EPS) slipped to ₹1.69 (basic) and ₹1.68 (diluted), down from ₹2.26 and ₹2.25, respectively, in the same period last year.
The company’s consolidated margins witnessed pressure due to higher raw material and employee costs. Electronics and Electricals remained the dominant contributors to revenue.
Segment-Wise Revenue (Q1FY26)
- Electronics segment contributed the highest, clocking ₹536.29 crore in revenue.
- Electricals segment followed closely with a revenue of ₹524.70 crore during the quarter.
- Consumer Durables reported revenue of ₹349.58 crore.
- Sunflame generated ₹55.51 crore.
- The total consolidated revenue from all segments stood at ₹1,466.08 crore in Q1 FY26.
Electronics led the topline, while Consumer Durables witnessed a YoY decline. The company also reported Sunflame’s quarterly revenue at ₹55.51 crore.
Corporate Announcements
ESOS Share Allotment
The company’s Board of Directors approved the allotment of 4,500 equity shares under the Employee Stock Option Scheme (ESOS) 2013.
- These shares were allotted to eligible employees who exercised their vested options.
- Each share carries a face value of ₹1.
- The allotment reflects ongoing employee incentive and retention efforts under the ESOS 2013 framework.
Merger of Sunflame Enterprises Pvt Ltd
The Board granted in-principle approval for merging Sunflame, its wholly-owned subsidiary, into V-Guard. The transaction will not involve any share exchange or impact on the shareholding pattern.

- Turnover: ₹254.39 crore
- PAT: ₹3.29 crore
The merger aims to leverage operational synergies, R&D strengths, and cost efficiencies.
Foray Into Lighting Business
V-Guard will formally enter the Lighting business segment to diversify and complement its existing electrical and consumer durables portfolio. The company will launch products in select markets initially to gauge demand and fine-tune investments accordingly.
Management Statement
The company stated the decisions are part of a broader strategic thrust aimed at consolidating business lines, improving cost synergies, and diversifying product offerings across growing categories.

V-Guard Industries shares closed at ₹380.60, which is a 1.67% dip on July 29, 2025. V-Guard Industries shares have dipped 17% in the last year, 14% in the year-to-date, and 1.7% in the previous month.
V-Guard Industries Ltd opened trading at ₹388.20 on Tuesday, with the stock moving between an intraday high of ₹392.70 and a low of ₹371.10.
