Yatra Online Share Price Rises 1.68% After NCLT Approves Merger of Six Subsidiaries

Mumbai, October 15, 2025 – The Yatra Online Limited (NSE: YATRA, BSE: 543992) stocks surged by 1.68% today following the announcement that the Mumbai Bench of the National Company Law Tribunal (NCLT) has sanctioned its composite scheme of amalgamation of six wholly-owned subsidiaries.
NCLT Approval for Composite Scheme
On October 14, 2025, the National Company Law Tribunal (NCLT) approved a composite scheme to merge several subsidiaries with Yatra Online Limited. The subsidiaries and their respective businesses are: Yatra TG Stays Pvt Ltd – online hotel accommodations; Yatra Hotel Solutions Pvt Ltd – hotel booking services; Yatra For Business Pvt Ltd – corporate travel and reservations; Yatra Corporate Hotel Solutions Pvt Ltd – hotel and travel solutions for corporates; Travel.Co.In Pvt Ltd – air tickets, hotels, and travel services; and Yatra Online Freight Services Pvt Ltd – freight forwarding and logistics platform. This merger will consolidate all these operations under Yatra Online Limited.
The scheme has been scheduled for April 1, 2024, and will come into operation when the certified copy of the order is deposited before the Registrar of Companies, Mumbai.
Strategic Rationale
The merger is designed to simplify Yatra’s corporate structure and centralize its operations for the business units. According to the release by the company, the merger will lead to:
- Operational efficiencies through reduced duplication and overhead costs
- Economies of scale and better utilization of resources
- Enhanced capital efficiency and creation of a consolidated growth platform
- Improved management focus and faster decision-making
The scheme involves no fresh issue of shares, as all six subsidiaries are directly owned by Yatra Online Limited. After the merger, their share capital was canceled in the books of the parent company.
