Gurugram, October 10, 2025ACME Solar Holdings Limited (NSE: ACMESOLAR) shares rose 1.14% on Friday after the company disclosed that it increased its ownership stake in a subsidiary, ACME Sigma Urja Private Limited, from 49% to 99.66% through an investment of ₹1.5 crore.

ACME’s board Operational Committee has authorised the subscription of 15 lakh fully paid equity shares of a face value of ₹10 each at par. The investment will be made in cash and completed in seven business days.

Key Transaction Details

ACME Solar announced the acquisition of a stake in ACME Sigma Urja Private Limited, which is operating in the renewable power generation sector. ACME currently holds a 49% stake in ACME Sigma Urja, which will increase to 99.66% as a result of the transaction. As part of the transaction, ACME Solar will subscribe to 15 lakh equity shares in ACME Sigma Urja, which has a face value of ₹10 each, for a total cash investment of ₹1.5 crore. There are no regulatory approvals required to complete the transaction and it is expected to close in seven business days.

Nature and Purpose of the Transaction

The transaction aligns with the Shareholders Agreement dated June 17, 2024, wherein ACME Solar is responsible for the development, commissioning, and funding of renewable energy projects undertaken by ACME Sigma Urja. The subsidiary will utilize the infusion for project construction and commissioning.

Since the remaining 51% equity in ACME Sigma Urja was earlier held by ACME Cleantech Solutions Pvt. Ltd., the promoter entity, the transaction qualifies as a related party transaction. It has already received approvals from the Audit Committee, Board, and shareholders during August and September 2025, and is being executed on an arm’s length basis.

ACME Solar Holdings Limited shares closed with a 1.14% gain on October 10, 2025. ACME Solar Holdings Limited shares have gained 21% in the year-to-date, 44% in the last six months, and are down 5.9% in the last month.
