Adani Energy Solutions to Acquire IntelliSmart For ₹3,050 Crore; Shares Slip 0.36%

Mumbai, June 9: Adani Energy Solutions Limited (AESL) has signed a securities purchase and subscription agreement to acquire 100% equity share capital of IntelliSmart Infrastructure Private Limited in a deal valued at ₹3,050 crore.

The company disclosed the transaction through an exchange filing under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

According to the filing, AESL signed the agreement on Tuesday with National Investment and Infrastructure Fund (NIIF), Energy Efficiency Services Limited and IntelliSmart Infrastructure Private Limited.

The acquisition also includes redemption of optionally convertible debentures held by NIIF in IntelliSmart.

The transaction remains subject to customary closing conditions, including approval from the Competition Commission of India.

The stock was trading at ₹1,564.70, down 0.36%, as of 13:11 IST on June 09, 2026 according to market data.

Investors appeared to assess the financial and operational implications of the acquisition, particularly given the scale of the transaction and AESL’s growing focus on smart metering infrastructure.

Acquisition Strengthens Smart Metering Presence

AESL said the acquisition aligns with its strategy of expanding through both organic and inorganic opportunities within the energy infrastructure segment.

The company noted that the transaction will significantly strengthen its position in the smart metering AMISP segment, taking its cumulative installed and contracted smart meter portfolio to around 4.7 crore meters.

Management also expects synergies through operational integration, economies of scale and optimisation of operations and maintenance costs.

IntelliSmart operates in the smart meter rollout segment and works across procurement, deployment, operations and maintenance of smart metering infrastructure.

IntelliSmart Reported Strong Revenue Growth

According to the disclosure, IntelliSmart reported turnover of ₹621.3 crore in FY25, compared with ₹243.5 crore in FY24 and ₹85 crore in FY23.

The company was incorporated in New Delhi in 2019 and operates in the infrastructure segment with a focus on advanced metering systems and smart energy management solutions.

AESL said the acquisition is expected to be completed within 180 days from signing of the agreement or within such timeline as mutually agreed between the parties.

The company clarified that the transaction does not fall within related party transactions and promoter group entities do not have any interest in the target company.
