New Delhi, September 5, 2025: HCL Infosystems͏ Ltd (BSE͏: 50͏0179, N͏SE: HCL-INS͏YS) share͏s rose 2.43% to ₹16.͏00͏ on Fr͏id͏ay morning f͏ollowing the com͏pa͏ny’s com͏pletion of the ͏acqui͏sition of the remaining 15% stake in Pim͏pri Chi͏nchwad eService Limited͏, m͏ak͏ing it a͏ wholly-own͏e͏d͏ subsidiary. B͏y͏ 2:29 P͏M ͏I͏ST, the stock w͏as tr͏ading at ₹15.85͏, up 0.70%. Over the past year, H͏CL͏ I͏n͏fosystems͏ h͏as declined 1.80%, while it h͏as gain͏ed͏ 1.93%͏ ͏year-to͏-dat͏e and 21͏.9% over the last six months.͏ T͏he sto͏ck opened ͏a͏t ₹15.70, touched a high o͏f ₹͏16.08, a͏nd a ͏low of ₹15.60 duri͏ng the session. The͏ company͏’͏s market capitalisatio͏n stands ͏at ₹5͏21.80 crore͏,͏ with a 52-week range of ₹11.80–₹24.50,͏ re͏flecting notable v͏olatil͏ity.

HCL Buys Remaining 15% for ₹7,500, Gains Full Ownership

HCL Infosystems has finalised the acquisition of the remaining stake in Pimpri Chinchwad eService Ltd, purchasing 7,500 shares at ₹1 each from Indo Enviro Integrated Solutions Pvt. Ltd. The company, which already possesses 85%, now has 100% of the entity, and it is a wholly-owned subsidiary. The deal was closed on 4th September 2025 at a total consideration of only ₹7,500. Pimpri Chinchwad eService was initially formed with the intent to offer WiFi services to the Pimpri Chinchwad Municipal Corporation.

Joint Venture Never Operated, Originally Set Up for WiFi Services

The company clarified that Pimpri Chinchwad eService was initially constituted as a joint venture with IL&FS and Software Technology Parks of India, but has never had any business activities since inception.  However, the venture has remained inactive since its inception and has never conducted any business operations. The recent acquisition of the remaining 15% stake now makes it a wholly-owned subsidiary, enabling the company to streamline its operations and explore future digital service initiatives under full control.

HCL Infosystems completed the acquisition of the remaining 15% stake in Pimpri Chinchwad eService, making it a wholly-owned subsidiary. The entity, originally set up for WiFi services, has had no operations to date. Full ownership simplifies corporate structure and governance, potentially enabling HCL to streamline management, optimise administrative processes, and align the subsidiary with broader strategic objectives.
