Chennai, September 5, 2025: Veranda Learning Solutions (NSE: VERANDA, BSE: 543514) jumped more than 8.50% to close at 230.75 on Friday following clearance by the company Board to sell the company’s vocational training business vertical, comprising Brain4ce Education Solutions, Veranda Management Learning Solutions, and Six Phrase Edutech. Shareholder consent will be obtained under SEBI guidelines.

The stock opened at ₹218.54, touched a high of ₹233.50 and a low of ₹206.00 during the session, with a market capitalisation of ₹2,160 crore. The 52-week high and low stand at ₹360.25 and ₹185.30, respectively, while the stock currently carries no dividend or P/E ratio. Shareholder consent will be obtained under SEBI guidelines. The company also fixed September 29, 2025, as the date for its 7th Annual General Meeting through video conferencing.

Established in 2018 by the Kalpathi AGS Group, Veranda Learning Solutions Limited is a listed education company offering end-to-end solutions across schools, colleges, test preparation, study abroad, and software upskilling. Listed on April 11, 2022, the company leverages technology-driven methodologies to deliver personalized learning experiences.

Divestment of Vocational Division to Strengthen Focus on Core Business Verticals

The decision is a part of a restructuring exercise to focus on four verticals — academic, government test preparation, commerce, and vocational. Chairman Suresh Kalpathi stated that the divestment will intensify focus on core businesses and release standalone value for the vocational segment.

This allows us to focus resources on areas with strong market presence while enabling divested verticals to unlock independent value.”

The divestment of Veranda Learning’s vocational training division reflects a strategic focus on core business verticals. By streamlining operations, the company aims to enhance operational efficiency, optimise resource allocation, and unlock value for standalone segments.
