Mumbai, September 29: IRB Infrastructure Developers Limited has executed Project Implementation Agreements with IRB InvIT Fund to manage two highway projects following the transfer of their project special purpose vehicles to the Public InvIT.

IRB Infrastructure Executes Agreements With IRB InvIT Fund

The company informed the stock exchanges that it has completed the execution of Project Implementation Agreements (PIAs) with IRB InvIT Fund, also referred to as Public InvIT, to act as Project Manager for the two assets.

The agreements follow the transfer of 100% of the equity share capital of the respective project SPVs from IRB Infrastructure Trust to the Public InvIT.

The two project SPVs covered under the agreements are Solapur Yedeshi Tollway Limited (SYTL) and CG Tollway Limited (CGTL).

Two Highway Assets Covered Under Agreements

Under the first agreement, IRB Infrastructure will act as Project Manager for SYTL, which operates the four-laning project from Solapur to Yedeshi on NH-211 in Maharashtra. The project has a design length of 98.717 kilometres and was developed under the NHDP Phase IV on a Design, Build, Finance, Operate and Transfer (DBFOT) toll basis.

The second agreement covers CGTL and relates to the six-laning project between Kishangarh, Udaipur and Ahmedabad. The stretch runs from near Gulabpura to the Chittorgarh Bypass on NH-79 in Rajasthan and was developed under NHDP Phase V on a Build, Operate and Transfer (BOT) toll basis.

Project Management Arrangement To Continue

As per the disclosure, the agreements provide for project management services over the remaining concession period of the two assets.

The commercial arrangement has a value of approximately ₹2,663 crore on a fixed-price basis, including applicable taxes. The company said the balance concession period is approximately 18 years on a weighted average basis.

IRB Infrastructure also clarified that the parties to the agreements are not related to the promoter or promoter group companies, and the transactions do not fall within the definition of a related-party transaction under the SEBI Listing Regulations.

Conclusion

The execution of the two Project Implementation Agreements formalises IRB Infrastructure Developers’ role as Project Manager for the Solapur-Yedeshi and Kishangarh-Udaipur-Ahmedabad highway assets following their transfer to IRB InvIT Fund.

The agreements carry an estimated value of ₹2,663 crore over the remaining concession period. The IRB Infrastructure share price stood at ₹16.98 as of 11:22:29 AM IST on September 29, 2026, down ₹0.16 or 0.93%.
