Mumbai, July 2: Zee Entertainment Enterprises Ltd (ZEEL) share price fell as much as 4% on Thursday after the media company’s board approved a ₹3,143.5 crore capital raise through a preferential issue of fully convertible warrants to a promoter group entity.

The stock declined during the session as investors evaluated the impact of the proposed fundraising and the potential equity dilution that would arise upon conversion of the warrants into equity shares. As of writing the stock was down 3.4% at Rs 104.6. 

Board approves preferential issue 

In a regulatory filing after market hours on Wednesday, ZEEL said its board had approved the issuance of up to 24.95 crore fully convertible warrants to Sunbright Mauritius Investments, a promoter group entity. 

The warrants will be issued at ₹126 each, taking the total size of the fundraising to ₹3,143.5 crore.

The issue price is above the prescribed floor price and 16% higher than the previous close. 

The investor will pay 25% of the issue price upfront at the time of allotment, while the remaining 75% will be payable upon conversion. The warrants can be converted into an equivalent number of equity shares in one or more tranches within 18 months from the date of allotment. 

Promoter stake to rise significantly 

The preferential allotment marks a major increase in promoter ownership of the company. 

Following the full conversion of the warrants, the promoter group’s shareholding is expected to increase from the current 3.99% to around 24%, subject to shareholder approval through a postal ballot and other statutory and regulatory clearances.

The proposed capital infusion comes at a time when the company is looking to strengthen its ownership structure following a period of uncertainty that included the collapse of its proposed merger with Sony Group Corp. 

Market participants said the move demonstrates renewed promoter commitment to the company while also providing ZEEL with additional financial flexibility to pursue its strategic priorities. 

Funds to support growth initiatives 

While ZEEL did not provide a detailed deployment plan, the fundraising is expected to provide additional capital for investments in content, digital expansion, technology and other long-term business opportunities. 

Alongside the preferential issue, the board also approved the introduction of the ZEEL Employee Stock Option Scheme 2026, subject to shareholder approval. 

The proposed ESOP plan provides for the grant of up to 3.74 crore stock options, with each option convertible into one equity share at an exercise price of ₹126. 

Comes after FDI approval 

The board’s decision follows another positive development for the broadcaster earlier this week. 

On Wednesday, Zee Entertainment disclosed that it had received government approval for a ₹418 crore foreign direct investment from OFI Global China Fund LLC, a move that had helped lift the stock in the previous trading session. 

The latest fundraising proposal further reinforces the company’s efforts to strengthen its balance sheet while increasing promoter participation in the business. 

What investors are watching 

Although the announcement signals greater promoter confidence in the company, investors remained cautious over the potential dilution that will result when the warrants are converted into equity shares. 

Analysts said the proposed transaction is strategically significant as it aligns promoter interests more closely with those of minority shareholders while providing ZEEL with fresh capital to pursue its growth plans. 

The focus now shifts to shareholder approval of the preferential allotment and the timeline for warrant conversion, both of which could shape investor sentiment toward the stock in the coming months.
