Libas Consumer Products Ltd (NSE: LIBAS) has announced that the National Company Law Tribunal (NCLT), Mumbai Bench, has dismissed a case filed against the company and its directors under allegations of oppression and mismanagement. The order, delivered on June 13, 2025, brings closure to a legal battle initiated by promoter Mrs. Reshma Ganji in June 2023.
Tribunal Ruling in Company’s Favor
In its final verdict, the NCLT observed that the petition filed by Mrs. Reshma Ganji was essentially a matrimonial dispute that had escalated into a corporate legal proceeding. The bench noted that there was no material evidence indicating that the company’s affairs were conducted in a manner prejudicial to its interests or oppressive to the petitioner.
“We do not find any evidence to show that the affairs of the Company have been conducted in a manner prejudicial to its interests… Further, it cannot be said that the affairs of the Company are conducted oppressive to the Applicant,” the tribunal stated, referencing a similar precedent set in Hanuman Prasad Bagri Vs. Bagress Cereals Pvt Ltd.
The bench further noted that Mrs. Ganji had voluntarily withdrawn from her duties as Managing Director, undermining her own case.
